Build a real base, not just a licence

The UAE can support international operations, a family move, or both. The first decision is which activity will actually happen there: sales, management, consulting, investment or regional expansion. A trade licence authorises specified activities; it does not by itself establish an owner’s nonresidence elsewhere, secure a bank account or settle corporate tax. Dubai and Abu Dhabi also offer different practical settings. Choose around customers, travel, schools, housing and the team who will do the work.

Choose residence around your circumstances

The Golden Visa has several investment and talent categories. Remote workers employed outside the UAE have a different residence route. Neither route should be described as buying a passport. Family documentation, health insurance and local identity formalities need to be coordinated with the main applicant’s category. A long visa validity is useful for stability, but does not remove ongoing eligibility conditions.

The financial picture

Separate licence and incorporation charges, immigration fees, workspace, insurance, accounting and tax compliance from any investment capital. A qualifying free-zone tax treatment is a separate analysis from selecting a free zone. For an owner living elsewhere, the rules of that other country can remain the largest component of the total cost.

Three different questions: permission, residence and taxable activity

A workable UAE plan answers three independent questions. First, what permits you and the company to live and operate there? Second, which country treats each person or company as tax resident? Third, where is each profit actually taxable? A free-zone licence answers only part of the first question. An Emirates ID does not answer all of the second, and an overseas customer does not answer the third.

For an owner-manager, map the current business before forming anything: who develops the product, signs contracts, controls pricing, employs the team and bears commercial risk? A UAE subsidiary performing real regional functions can be a different proposition from an invoice company whose owner and staff remain elsewhere. The latter may leave the original country’s tax result largely intact while adding licence, banking and accounting costs. The appropriate comparison is the whole group’s after-tax cash and annual operating cost.

Personal residence can work through more than a day count

Cabinet Decision 85 of 2022 contains alternative domestic residence tests. These include 183 days within twelve consecutive months, and a 90-day route for qualifying nationals or residence-permit holders who also have a permanent home or employment/business in the UAE. Another test concerns the usual or primary home and the centre of personal and financial interests. The supporting facts matter as much as the permit.

These domestic rules do not rewrite a treaty or another country’s legislation. A person can meet a UAE test while still being resident in their previous country. Before arranging a departure, examine the retained home, spouse and children, employment, company control and intended return pattern. Keep a dated evidence file of the move, rather than attempting to reconstruct it when a foreign tax authority asks questions several years later.

The operating model determines the corporate-tax result

An individual’s wages and qualifying personal investment receipts are distinct from their business turnover. UAE business conducted personally can enter corporate tax once annual turnover exceeds AED1 million. For a company, the ordinary regime and the qualifying free-zone regime have different conditions. Zero per cent is attached to qualifying income under the latter; it is not a universal benefit attached to the word Dubai.

The Ministry of Finance replaced the qualifying-activities decision in 2025. A 2024 brochure should therefore be reconciled with the current rules, especially for commodities and treasury activities. Model the actual revenue lines, customer types, substance, outsourcing and related-party transactions. Then test an adverse year: a new customer, a change in activity or an unexpected receipt can matter to a regime with a de minimis test and multi-year consequences for failure.

Build the implementation budget around dependencies

Treat immigration, licensing and banking as linked workstreams with separate approvals. A company may need its licence and ownership documents before a bank can complete review. A resident may need a local address, identity and evidence of funds for the desired account. None of those steps guarantees the next. Budget working capital that remains accessible while checks are under way.

A useful quotation distinguishes one-off government and provider charges, qualifying investment, recurring office and staffing costs, accounting, audited statements where needed and tax filings. It also identifies who maintains evidence of genuine decision-making. If external management is appropriate, Offshore Capitalist can introduce a suitable provider; we do not supply foreign management ourselves. The directors must actually have the competence and authority needed for their role. A signed annual minute cannot substitute for decisions that were really taken somewhere else.
