Eligibility & suitability

Who can qualify

  • A Free Zone Person meeting all statutory conditions, including qualifying income, adequate substance, transfer-pricing compliance and audited financial statements.
  • A mixed-revenue business only where the detailed category rules and de minimis test are satisfied.

Restrictions & unsuitable cases

  • An entity outside the statutory free-zone category.
  • A company that elects into ordinary taxation or fails the qualifying conditions for the relevant period.
  • A business relying only on a free-zone licence or foreign customer address as evidence of a zero rate.

Application process & timeline

This is an annual tax qualification, not a visa application. Assess it before incorporation or material transactions and keep the analysis current.

01Map commercial activitiesBefore selecting the structure.+

List each product, service, customer type, investment and related-party transaction. Establish where the people and assets performing the work will be located. The commercial map determines which rules need analysis; the licence wording alone does not.

Documents & evidence

  • Business plan
  • Revenue forecast
Common complications
  • Grouping unrelated revenue under one broad trading label
References [4][3][5]
02Apply current legal classificationsBefore contracting; revisit when legislation changes.+

Test free-zone status, beneficial-recipient and activity conditions. Apply the 2025 replacement activity decision rather than treating the 2023 list as current. Identify income needing separate intellectual-property, property or permanent-establishment calculations.

Documents & evidence

  • Contracts
  • Current decisions
  • Customer evidence
Common complications
  • Assuming every foreign customer creates qualifying income
References [4][3][5]
03Design genuine substance and governanceBefore the income-generating activity begins.+

Assign capable people and resources to the functions actually required. Document any permitted outsourcing and how the company supervises it. Review corporate residence and permanent establishments in the places where owners and managers remain active.

Documents & evidence

  • Authority matrix
  • Employment or outsourcing contracts
  • Premises evidence
Common complications
  • Retrospective minutes without real decision-making
References [4][3][5]
04Install accounting and monitoringFrom the first transaction, throughout each period.+

Create accounts and invoice tags that distinguish qualifying, excluded and separately taxable income. Forecast and monitor the de minimis ratio using the statutory denominator and exclusions. Escalate a projected breach while commercial alternatives still exist.

Documents & evidence

  • Ledger
  • Invoice classification
  • Revenue forecast
Common complications
  • Testing only at year end after the breach is irreversible
References [4][3][5]
05Audit and file the returnApplicable annual deadlines; professional preparation is separate.+

Prepare required audited statements and reconcile the tax classification to them. Complete related-party analysis and the tax return. Retain the underlying evidence rather than assuming the audit establishes the correctness of every tax conclusion.

Documents & evidence

  • Audited statements
  • Tax computation
  • Transfer-pricing support
Common complications
  • Confusing financial audit assurance with a tax ruling
References [4][3][5]
06Review changes and disqualification exposureAt major contract, ownership or operating changes.+

Reassess new revenue, new locations and altered management. If a condition fails, model ordinary taxation for the affected period and the subsequent disqualification period. Review the owner-country result separately; UAE qualification does not override foreign CFC law.

Documents & evidence

  • Change register
  • Revised tax forecast
Common complications
  • Repairing a later year while overlooking an earlier loss of status

The benefit and its boundary

The FTA distinguishes qualifying income of a Qualifying Free Zone Person from taxable income outside that definition. The published rates are 0% on qualifying income and 9% on relevant nonqualifying taxable income. This is a corporate-tax framework, not a statement that a company in any free zone pays no tax.

Who must be assessed

Review the entity, its activities, counterparties, permanent establishments and income streams. The detailed rules distinguish qualifying and excluded activities and impose substance and other conditions. E-commerce, services, intellectual property and investment holding cannot be placed into one universal category. A business with mixed revenue needs calculations and records supporting the treatment.

Implementation and documents

Prepare a business-function map, contracts, revenue classification, management and staffing plan, expense records and transfer-pricing support where required. Confirm the current decisions and FTA guidance for the relevant period. Set up accounting capable of separating qualifying and other income; a tax return cannot reconstruct missing commercial facts reliably after the year ends.

Costs and ongoing work

Allow for premises, staff or outsourced functions where appropriate, licence renewals, accounts, audit requirements, tax filings and specialist review. The costs needed to support the real business should be included in the economic comparison. A cheap formation quote does not represent the annual cost of maintaining eligibility.

Pitfalls and timing

Check conditions before transactions occur and review them during the year. Losing qualifying status can have consequences beyond one isolated receipt, so the current statutory rules must be examined. Owner-country CFC rules, corporate residence elsewhere and permanent establishments remain separate. This regime does not itself supply the people who genuinely exercise foreign management and control.

Classify the customer, activity and income separately

The starting point is the Corporate Tax Law’s Qualifying Free Zone Person framework, together with Cabinet Decision 100 of 2023 and the current ministerial activity rules. Ministry of Finance announced that Ministerial Decision 229 of 2025 replaced Decision 265 of 2023. Older guides remain useful for the framework but must be read with that replacement, particularly for commodities, treasury and financing.

A transaction with another Free Zone Person and one with an overseas or mainland customer do not follow identical tests. For the latter, identify the qualifying activity rather than assuming that an overseas customer makes the income qualifying. Excluded activities, natural-person transactions, intellectual property, immovable property and permanent-establishment income need their specific rules. A company doing ordinary online consulting cannot safely classify every international invoice as qualifying merely because its trade licence was issued in a free zone.

De minimis is a limit on revenue, not a tax allowance

The framework tests non-qualifying revenue against the lower of five percent of relevant total revenue and AED5 million. The statutory calculation has exclusions and specific treatment for certain income, so a simple percentage of the bank statement is insufficient. Track each invoice by activity and counterparty and reconcile the tax categories to the accounts.

Loss of qualifying status generally affects the beginning of the relevant tax period and the four following periods. This makes an apparently small new product line or service contract potentially material. Forecast the ratio before signing a contract, monitor it during the year, and compare the standard corporate-tax regime if the commercial business cannot remain within the framework. Do not turn down profitable business merely to preserve a headline rate without comparing the actual economics.

Substance means functions and resources

Adequate substance concerns what the business actually does: appropriate personnel, operating expenditure and assets for the income-generating activities. Outsourcing is not automatically prohibited, but permitted location and supervision requirements need to be checked for the function concerned. A desk rental and a director’s name cannot establish who evaluated customers, controlled risk, selected investments or authorised contracts.

Prepare an authority matrix covering the owner, directors, employees and external managers. Record the information available to decision-makers and their ability to reject proposals. Offshore Capitalist can help coordinate suitable management providers where available; we do not present foreign management as an in-house service or promise that a nominal appointment relocates control.
