Personal income and business income are different

The FTA excludes wages, qualifying personal investment income and qualifying real-estate investment income from the activities used to determine an individual’s corporate-tax exposure. An individual conducting business can nevertheless enter corporate tax when annual business turnover exceeds AED 1 million. Turnover is not profit, and calling business receipts a salary does not determine their treatment.

Free-zone treatment is conditional

Qualifying Free Zone Persons can receive 0% treatment on qualifying income, with 9% treatment for taxable income outside that definition. The conditions include adequate substance and other compliance requirements. Analyse the activities, counterparties, permanent establishments and income categories before recommending a free-zone company. The published regime does not mean that every international sale or every consulting activity qualifies.

Management and international interaction

The UAE corporate-tax framework can treat foreign legal persons effectively managed and controlled in the UAE as residents. Conversely, a UAE company directed from another country can create exposure there. CFC attribution in an owner’s home country, treaty residence, transfer pricing and permanent establishments remain separate questions. This draft does not certify a universal absence of UAE CFC or departure provisions.

Apply the domestic residence tests before requesting a certificate

Under Cabinet Decision 85, 183 days in a relevant twelve-month period is one route to individual residence. Ninety days can suffice for a UAE national, qualifying GCC national or valid residence-permit holder with a permanent home or employment/business in the UAE. The primary-home and centre-of-interests route requires a factual examination. Keep entry/exit records, accommodation evidence, employment or business records and documents showing personal ties.

A Tax Residency Certificate evidences a conclusion for its stated purpose and period. Treaty residence must be assessed under the particular treaty, whose conditions can differ. Obtaining a domestic certificate does not automatically end Canadian, British, Australian or another country’s residence claim.

Follow the decision-makers, including in foreign companies

The foreign company is a separate taxpayer from its shareholder. A foreign-incorporated entity can be effectively managed and controlled in the UAE when the key commercial and strategic decisions are substantively made there. An entrepreneur managing a foreign group from a Dubai home office should analyse this even if the group has no UAE customers.

Record where directors deliberate, who can approve budgets and contracts and which people supervise major risks. Distinguish reserved shareholder decisions from management of the business. A service agreement with a foreign director is useful only if the person actually exercises the agreed authority. Other countries’ CFC, permanent-establishment and transfer-pricing rules can operate alongside UAE corporate residence.

Calculate the base and compliance cost, not just the rate

For an individual in the corporate-tax rules, the AED1 million business-turnover threshold determines entry into the regime; it is not a tax-free profit allowance. Wages, qualifying personal investments and qualifying real-estate investment income are excluded categories with their own definitions. Keep business and personal receipts separated in both contracts and accounts.

For free-zone companies, reconcile each income stream with the current qualifying/excluded-activity rules, counterparty conditions, substance and audited-account requirements. Small Business Relief is a different election with revenue and eligibility conditions; do not stack it casually on top of qualifying free-zone treatment. Establish registration, accounting-period and return responsibilities as part of incorporation, and reassess a material business change before the transaction occurs.
