There is more than one kind of exit
An exit-tax discussion should identify the taxpayer, asset and event first. A personal departure can trigger deemed disposals of investments under one country’s rules. A company moving its residence or transferring business assets can face a different charge. Tax on local property or later income after departure is a third issue.
Canada’s emigrant guidance, for example, describes deemed dispositions at market value with specified exclusions. Irish Revenue’s exit-tax guidance addresses companies and the loss of Irish taxing rights over assets. It would be misleading to apply the Irish corporate summary to every individual who leaves Ireland.
How the analysis fits together
Build the departure analysis around events rather than a single travel date. Personal non-residence, a change in company management, a transfer of assets and a disposal of shares can occur on different dates. Each can have its own tax consequences. An implementation calendar should identify those events separately and say what evidence determines whether and when each has occurred.
Liquidity is a separate question from the amount of a gain. A valuable private company may be difficult to sell, while a tax payment deadline can arrive much sooner than any realisation. Compare immediate payment, legally available deferral, associated security and the future events that end the deferral. Also model the destination’s basis in the same asset. A departure charge and a later arrival-country gain can overlap if relief is not available.
Assessment sequence
This is a review framework. The applicable domestic provisions and any relevant treaty determine the result in a particular case.
| Step | What to establish |
|---|---|
| Taxpayer and event | Distinguish the individual’s departure, a company’s migration, asset transfers and ordinary disposals. |
| Asset scope | List assets subject to deemed disposal and separately test exclusions, retained taxing rights and specific elections. |
| Valuation | Identify the legally relevant date, market value, tax basis and currency. Private-company or unusual-asset valuations may require a specialist. |
| Payment and elections | Check forms, filing deadlines, deferral conditions, security and future events that accelerate payment. |
| After departure | Reconcile arrival basis, continuing local-source income, information returns and consequences of returning. |
Why the timing matters
A founder may have substantial value in a company without an equivalent cash balance. A deemed-disposal charge can therefore create a funding problem even though no buyer has paid for the shares. The departure date, value, tax cost and availability of relief or deferral all deserve attention before moving.
Consider a possible business sale, restructuring, distribution or gift alongside the departure. Each may be a separate taxable event, and anti-avoidance rules can affect their interaction. Changing the order of steps can change the answer; it should follow a written analysis of both countries rather than an assumption that transactions before a flight are safe.
Build the asset and valuation schedule
List company interests, securities, property, pensions, trusts, options, crypto assets and relevant business assets. Record ownership, cost basis, currency, prior elections and current evidence of value. Mark categories requiring specialist valuation or a separate statutory exclusion review.
Then model tax payable now, any available payment deferral, security requirements, future disposal consequences and a possible return. A deferral can change when money is paid without eliminating the liability. The destination’s entry basis and credit rules also matter: a charge on departure does not automatically ensure matching relief on a later sale.
A practical departure workstream
Set the residence-change evidence, valuation date, filing obligations and responsible advisers in one calendar. Keep the individual’s plan distinct from changes to company management, contracts and assets. Continuing rental income, payroll or a local establishment may require returns long after the move.
We can assess departure as part of the complete international plan and coordinate implementation around the analysis. Bring the intended move date and any pending sale or restructuring early; those events can determine what decisions remain available.
Common misunderstandings
- An immigration departure is not necessarily a tax departure.
- No general personal exit tax does not mean that company migration or particular assets are outside tax.
- A payment deferral normally needs analysis of the underlying liability and future triggers.
