Make international management work for the business

You may already have customers, staff and opportunities in several countries while the important decisions still depend on you at home. A foreign company can be useful, but the management behind it needs to be credible and workable. The aim is an operating arrangement you can understand and sustain.

Offshore Capitalist helps assess the structure, define the management role and connect appropriate cases with qualified independent external providers whose suitability and acceptance must be established. We do not provide foreign management and control internally. We may receive referral compensation; the relationship and charges should be clear before you commit.

What you receive

The scope can address an existing arrangement, a proposed provider mandate or management within a complete international setup. We agree the work and deliverables before implementation. A useful answer explains the business changes required, the reason for them and the remaining responsibilities.

WorkstreamConcrete outputBoundary to agree
Structure assessmentA sourced explanation of the relevant management question, alternatives and assumptions.Which countries, entities and periods are covered; whether a separate local formal opinion is required.
Operating designAn authority map covering the owner, board, executives, signatories and external manager.Which responsibilities can be delegated and what stays with you or your team.
Provider assessment and introductionsA defined mandate against which to discuss competence, capacity, conflicts and commercial terms.Availability and acceptance are confirmed for the actual business; an introduction is not acceptance.
Implementation coordinationAn agreed checklist for appointments, contracts, information access, bank permissions and handover.Who drafts or approves each document and which local specialists are separately engaged.
Ongoing responsibilitiesA calendar and handoff identifying records, filings and review triggers.Provider administration and any continuing technical review have their own agreed scope.

From the current structure to a working arrangement

These are decision stages, not promised processing times. Analysis, independent provider acceptance and implementation are scoped separately.

01Establish fit and the present factsBefore a proposal+

Identify the business, countries, existing structure and owner’s intended role. Decide whether the need is a focused review, full design or implementation of an existing plan.

Documents & evidence

  • Short business outline
  • Entity and ownership chart
  • Current decision-makers and locations
Common complications
  • Choosing a country or director before identifying the actual problem.
02Design the structure and delegationDuring the agreed analysis+

Review domestic residence and treaty questions alongside CFC, PE, source and related-party issues. Define the responsibilities and practical changes the business can support.

Documents & evidence

  • Decision matrix
  • Existing analysis and relevant contracts
  • Proposed operating model
Common complications
  • Treating a signature service as genuine delegated management.
03Confirm a suitable independent providerAfter the role is defined+

Discuss the proposed mandate, team, acceptance criteria, conflicts, resources, charges and exit arrangements. Confirm our role, the provider relationship and any referral compensation.

Documents & evidence

  • Provider proposal
  • Responsibilities and commercial terms
  • Information and system requirements
Common complications
  • Assuming availability or acceptance before the provider reviews the business.
04Coordinate the transitionAfter agreed scope and acceptance+

Sequence required local documents, appointments, authority changes and bank or contractual consents. Hand over the information and rehearse actual decision-making before relying on the new process.

Documents & evidence

  • Agreed implementation checklist
  • Approved documents and mandates
  • Handover record
Common complications
  • Ending the old arrangement before the replacement is operational.
05Settle into the ongoing processFrom commencement onward+

Identify who maintains records, who handles filings and which changes trigger review. Check whether the first real decisions follow the agreed model; separately agree any recurring technical work.

Documents & evidence

  • Decision and reporting schedule
  • Filing and renewal responsibilities
  • Change and escalation procedure
Common complications
  • Allowing the founder’s old decision process to continue unnoticed.

Is your business ready for genuine delegation?

A useful starting pointWhat we need to understandWhen a different approach may fit
A profitable business with real international operations or credible plans to establish them. What the business does, where its people work and which responsibilities can genuinely sit abroad. The owner personally performs and controls almost everything in one country, with no workable change planned.
An owner prepared to delegate defined authority while retaining appropriate oversight.Which choices you will let management make, including when they disagree with your initial preference. The request is only for someone to sign decisions you will continue to make unilaterally.
Willingness to support a continuing operating relationship. The team, information, response requirements and budget needed after setup. The additional complexity and recurring cost exceed the realistic commercial benefit.
An existing structure with questions worth resolving. The original analysis, actual recent conduct and any change of owner or executive location.Historic filings or a dispute need urgent specialist work before a new arrangement can responsibly proceed.

Why the whole structure matters

A director appointment answers only part of the problem. The company may still have a residence connection through incorporation, a taxable business presence where people work, or owner-country CFC exposure. Related-party contracts and remuneration must also fit the functions actually performed.

Our jurisdiction-agnostic approach starts with the business and your objectives. We compare realistic choices instead of assuming one provider’s country is the answer. The advisory team develops the agreed analysis with Michael’s involvement in review and recommendations; the fulfilment team coordinates the agreed implementation. Separate local legal opinions or regulated representation are specified where required rather than implied.

Country rules change the design

An arrangement suitable for one country pair can be unsuitable for another. These examples explain why we establish the legal question before selecting a manager.

Choose the people and mandate, not just the location

A manager needs to understand enough of the business to exercise the responsibilities they accept. We use the proposed operating model to frame provider discussions. The review below is a practical selection framework; it does not claim that every provider offers these functions or that every jurisdiction permits the same arrangement.

AreaQuestions for the proposed providerWhat to make explicit
Actual teamWho will do the work, what relevant experience do they have and who provides cover?Named roles, continuity and the limits of their sector expertise.
Decision authorityWhich commitments may they approve, vary or reject? What information do they receive first? The mandate, reserved matters, reporting and decision records.
AvailabilityHow are material, urgent and routine decisions handled?Agreed response arrangements and escalation, without assuming constant availability.
Conflicts and accountabilityWhat competing interests, duties, restrictions or professional requirements apply?Disclosure, appropriate insurance where relevant and an understandable accountability mechanism.
Banking and systemsWhich bank, accounting and operating permissions are necessary?Access rights, payment controls, accurate ownership disclosure and bank approval dependencies.
Disagreement or terminationWhat happens if the manager rejects a proposal, resigns or cannot continue?Notice, replacement, document access, continuity and review of the tax implications.

Know what you retain and what changes

You need not disappear from your own business. The arrangement should explain your role as owner, adviser or executive and preserve oversight appropriate to that role. It must also be honest about where decisions are taken and work is performed.

Before handover, walk a real transaction through the new process: a major customer agreement, a financing decision or the next operating budget. Who prepares the information, who evaluates it, who can commit the company and who monitors the result? This rehearsal exposes missing authority, inaccessible systems and impractical delays before they become routine.

Bank access and contractual rights should protect the business while remaining consistent with the agreed management model. We do not recommend giving unexplained, uncontrolled access to a provider. The permissions and safeguards need to be designed and approved for the actual relationship.

Compare the complete cost

There is no meaningful universal price for foreign management. The activity, responsibilities, jurisdictions and resources drive the scope. We separate our quoted work from independent provider charges and other third-party costs so you can compare the proposed arrangement with your current position.

Cost componentWhat affects itHow to compare it
Our assessment and coordinationEntities, country pair, complexity, existing work and the implementation requested.Confirm deliverables, fee, exclusions and any need for specialist input before engagement.
Independent managementActual decisions, sector risk, workload, responsible personnel and continuity.Separate onboarding, recurring work, extraordinary transactions and termination charges.
Local operating requirementsPeople, premises, company administration, accounting, filing, travel or licences where needed.Identify what is required by the proposed facts or regime instead of buying an undefined substance package.
Transition and reviewChanging contracts, banks, assets, management or residence; subsequent material changes.Include migration and valuation issues and agree who pays for future technical review.
Total after-cost resultCompany and owner taxes, recurring expenditure and the value of the operational change.Compare realistic scenarios; a headline foreign tax rate is not a saving calculation.

Implementation timing follows the dependencies

A broader analytical engagement has historically taken four to eight weeks. That is context for the analysis and design stage, not a promised setup time or a timetable for every focused review. Provider acceptance, local documents, bank changes and operational handover have separate dependencies.

We identify the next decision and the information needed at each stage. Do not terminate an existing arrangement or move a significant contract simply because a new director has agreed in principle. The transition plan should address continuity, the effective date, required filings and whether the change itself creates tax consequences.

After setup: keep the arrangement aligned with reality

Management continues after appointment. The company and provider should maintain the agreed decision records and reporting, while the person responsible for compliance tracks filings and notices. A recurring technical review is a separate scope to agree; it is not silently included in a referral or an annual company renewal.

Bring material changes back into review: the owner relocates, a director starts working elsewhere, a new activity is added, authority shifts to a different executive, a bank mandate changes or the provider relationship ends. The important test is whether the operating facts still support the analysis.

Questions before engaging

QuestionAnswer
Do you provide the directors or managers yourselves? No. Offshore Capitalist assesses and coordinates the agreed work and can introduce appropriate cases to independent external providers. Their role, acceptance, contractual responsibilities and fees must be confirmed.
Can you review a provider I already use?An existing arrangement can be the subject of a scoped review. We need the mandate and evidence of actual conduct; we cannot assess it from a brochure or director’s address alone.
Does the arrangement guarantee a tax result? No. The result depends on law, the complete structure and continuing facts. A provider appointment is not authority approval, and it does not remove unrelated owner or company taxes.
Is a local legal opinion included?Only if the agreed scope specifies it. Our consulting/advisory work is distinct from a separately commissioned formal local opinion or regulated representation.
Will I still control payments? We work through appropriate authority and safeguards with the actual business and provider. Bank permissions are designed alongside the management role, not promised in a generic package.
Do you receive referral compensation? We may receive compensation from an independent provider. We make the relationship and relevant commercial terms clear before proceeding.
Can this fix an old structure retrospectively?A new arrangement cannot change past decisions. Historic exposure, filings or corrections need separate review, with the appropriate specialist involved when needed.

Start with the countries and the business

Send a short outline of your business, where you and the decision-makers live, the existing entities and the outcome you want. Include whether you are considering relocation and what responsibilities you would be prepared to delegate. You do not need to upload sensitive company records to make an initial inquiry.

Tijana and the team use that information to establish fit and the appropriate next step. A focused paid call with Michael may help resolve a defined question; a provider introduction or a wider analysis follows the situation and the agreed scope.
