Actual direction matters to corporate residence

The 2026 corporate instructions define a resident company by its principal establishment or seat of direction or administration in Belgium. A Belgian statutory seat creates a rebuttable presumption; rebuttal also requires demonstrating tax domicile in another state under that state’s law. The current wording is more precise than simply saying every Belgian-incorporated company is resident.

A foreign company directed from the owner’s Belgian home can therefore raise a Belgian residence question. Review who approves strategy, contracts, financing and distributions, where those decisions occur, and whether the documented board process reflects real authority. A foreign director’s name alone does not settle the facts. Treaty residence and a Belgian permanent establishment are separate analyses.

Profit is adjusted before the corporate rate is applied

Ordinary corporate taxation starts at 25%. Eligible small companies can obtain 20% on the first €100,000, subject to the statutory exclusions and remuneration conditions. Being newly incorporated, owner-managed or small in everyday language does not by itself prove entitlement. Check the assessment year and effective amendments before applying a salary threshold from an older guide.

The starting accounts must be adjusted for nondeductible expenses, reserves, exempt income and the order and limits of deductions. At €200,000 of taxable profit, an ordinary 25% calculation is €50,000; a company independently shown to qualify for the reduced first tranche would calculate €20,000 plus €25,000, or €45,000. These figures exclude owner extraction, credits, advance-payment effects and any special levies.

ComponentPlanning implication
Accounting profitReconcile to the taxable base; turnover is not taxable profit.
Reduced first trancheVerify small-company definition, shareholder exclusions and remuneration conditions for the year.
Dividends to ownerSeparate withholding and recipient-country taxation.
Losses and other deductionsCheck statutory order, basket limits and ownership changes rather than assuming unrestricted use.

Worldwide starting point, with treaty and participation relief

A Belgian resident company has a worldwide starting point, with the result then modified by treaty relief, foreign-establishment rules and domestic exemptions. For participations, the 2026 instructions contain the dividends-received deduction and share-gain conditions. Qualification depends on the holding and the subsidiary’s tax characteristics; the existence of a foreign subsidiary is not itself an exemption.

Foreign branches, remote staff and dependent agents need a country-by-country PE and profit-allocation review. Maintain a functional analysis: who performs work, controls risk, uses assets and earns the return. Document intragroup services and financing with real contracts and arm’s-length support. This bundle identifies these requirements but does not supply a treaty-by-treaty PE matrix or a complete transfer-pricing documentation-threshold table.

CFC taxation can arise before cash is distributed

The 2026 return instructions expressly require reporting undistributed profits of a qualifying controlled foreign company or its foreign establishment under article 185/2. Participation and low-tax tests both matter, as do the statutory exemptions. Control is not always the simple multiplication of ownership percentages through a chain.

The administration illustrates a Belgian company holding 10% of a low-tax company directly and 40% of an associated company that itself holds 42% of the low-tax company. For this control test, the associated company’s full 42% is counted, producing 52%, rather than 16.8%. This is why an ownership chart must include associated entities and their holdings.

The same 2026 instructions include a credit for the relevant foreign tax under article 289/1, with an unused amount carried forward rather than refunded. Do not describe the current system as categorically offering no foreign CFC tax credit merely because a 2026 EU judgment addressed earlier Belgian transposition failures. Detailed exemption testing and the allocation of attributable profit still require the current circular and underlying facts.

Moving assets or management can create exit taxation

The corporate return has an explicit exit-tax section. Covered situations include transfers of principal establishment or management abroad and transfers of assets to a foreign establishment. Market value, tax value, retained Belgian taxing rights and the legal form of the transaction affect the taxable amount.

Qualifying EU/EEA cases with the required recovery-assistance conditions may elect payment spreading. The 2026 instructions require communicating that choice to the competent collector within two months of the assessment notice. This corporate election is different from the individual financial-gains exit deferral introduced in 2026. A founder moving abroad should evaluate both levels, along with continuing Belgian business activity and shareholder consequences.

Outgoing dividends, interest and royalties

The ordinary domestic movable-income withholding rate is 30%; income-specific relief, domestic exemptions, qualifying EU arrangements or a tax treaty can change the result. Compare the actual recipient, beneficial ownership, participation and holding period, not just the destination on a bank transfer.

The payer generally declares and remits within 15 days of attribution or payment. A treaty-rate assumption needs the prescribed evidence and procedure. The structured comparison records therefore use 30% as the unreduced domestic starting point for dividends, interest and royalties, not as a promise that every payment bears that rate or that a refund is automatic.

VAT and invoicing are operational decisions

Belgium’s standard VAT rate is 21%, with 12%,6% and exceptional zero rates for qualifying supplies. Identify what is sold, where the customer belongs, whether the customer is a business, and whether a special place-of-supply, reverse-charge or exemption rule applies. A 21% national headline cannot classify cross-border digital sales or regulated services.

In-scope domestic B 2 B transactions require structured electronic invoicing from 1 January 2026. An emailed PDF is not equivalent to the required structured exchange. Select compatible software and test supplier/customer data before launch. Monthly and quarterly VAT deadlines differ; use the official calendar for the exact period. The guide does not assume all businesses qualify for the small-business exemption.

Price a real employment package

Employer cost includes more than gross salary and a single social percentage. Contribution category, wage moderation, special contributions, holiday pay, sector obligations and benefits matter. The 13.07% ordinary employee contribution is distinct from employer charges. Manual-worker bases can be 108% of gross because of the holiday-pay system.

For very high remuneration, the 2026 employer relief has a quarterly threshold of €86,700 in the first half and €88,434 from 1 July. It exempts specified basic employer and wage-moderation contributions on the qualifying excess; it does not cap every payroll charge or the employee’s liability. This bundle records that distinction but does not pretend to calculate Belgian net pay from a flat burden.

Keep the structure defensible after formation

Allocate responsibility for bookkeeping, annual accounts, corporate returns through Biztax, advance payments, withholding, payroll declarations, VAT and ownership information. The calendar depends on the accounting year and the obligation. The person preparing an annual corporate return should not have to reconstruct ownership or management evidence after the fact.

For a cross-border owner, prepare the organisation chart, accounts, functions and decision rights, expected distributions and the immigration/work position of each person. Those facts establish whether Belgium is the operating base, a subsidiary location or the owner’s home. They also determine which foreign advisers and implementation providers are needed.
