Swedish corporate residence is not a generic management-location test
Chapter 6 of the Income Tax Act treats legal persons as Swedish through registration or, if not registered, the board’s seat or a similar connecting factor. Swedish legal persons have worldwide liability; foreign legal persons generally have limited liability. The comparison database therefore marks management residence as limited/qualified rather than portraying every foreign company managed from Sweden as Swedish-resident by a universal effective-management test.
That distinction does not make a Swedish home office safe to ignore. A foreign company can have a Swedish permanent establishment through a fixed business location or dependent agent. Real management in Sweden may establish taxable operations even when the company retains foreign residence. Analyse the entity’s legal classification, domestic rules and actual treaty together.
20.6% applies to taxable profit, not turnover
A Swedish limited company pays 20.6% corporate income tax on its taxable surplus. Accounts are the starting point, followed by tax adjustments. Salary, pension, interest, capital expenditure and distributions are not interchangeable deductions; VAT and payroll liabilities are separate from profit tax.
As a deliberately narrow example, SEK 1,000,000 of taxable profit produces SEK 206,000 of corporate tax and SEK 794,000 after that layer. This says nothing about the owner’s eventual dividend tax, foreign tax, nondeductible expenses or losses. Use that distinction when comparing an incorporated company with a sole trader.
Loss carry-forwards and reserves require a continuity review
Company losses can generally carry forward, but ownership changes can restrict the use of old losses. A buyer should review the tax history separately from the accounting purchase price; a balance-sheet tax asset is not a guarantee that the acquired company can use it.
A limited company may allocate up to 25% of profit to a tax allocation reserve, reversing it within six years. This is deferral with an associated imputed charge, not a permanent 25% exemption. Keep a vintage schedule of reserves and forecast the reversals when considering a disposal, liquidation or change in operations.
Home working can be a real Swedish business location
The Tax Agency identifies home offices and management offices as possible fixed places of business. Whether the activities have sufficient permanence and are genuinely conducted from that place is factual. An applicable treaty must also permit the taxation. A branch registration and a tax PE are related administrative questions but not synonyms.
The current treaty guide addresses the OECD 2025 home-working commentary. The purpose and commercial circumstances of work from home matter, especially where an owner is the only person conducting the business. Keep employment arrangements, decision authority, sales activity and the actual working pattern consistent with the tax position.
For example, a founder who moves to Stockholm while continuing to negotiate and run an overseas company from the apartment should review PE, Swedish payroll and owner CFC exposure. Hiring a foreign director does not erase the founder’s Swedish activities.
CFC attribution can arise at 25% ownership
The CFC regime applies to relevant Swedish taxable corporate and individual owners. Direct or indirect capital/vote interests are aggregated with connected persons; at least 25% at the end of the relevant year can satisfy the ownership test. The foreign entity’s positive income is then tested under Swedish computation rules.
Low taxation means less than 55% of the tax on an equivalent Swedish-company base, an 11.33% comparison at the 20.6% rate. This is not simply a comparison of advertised foreign rates. The statutory country list and particular income exclusions, plus genuine EEA economic-establishment provisions, can change the result. Document premises, equipment, personnel and actual decision-making where relevant to an exception.
Contracts must describe the business actually operated
Cross-border related-party transactions and PE profit allocation must follow arm’s-length principles. Formal documentation can involve both a group file and an entity-specific file. An exemption from the document-production regime does not exempt the company from correct pricing or prevent the Tax Agency from adjusting profit.
Begin with functions, assets and risks: who develops the product, controls IP, contracts with customers, employs staff and bears commercial risk? The resulting service, distribution, financing and licensing agreements should match those facts. Keep support for the pricing method and update it when people or functions move.
VAT depends on the supply and transaction date
The ordinary VAT rate is 25%, with reduced rates and exemptions by supply. From 1 April 2026, qualifying food including takeaway food moves to 6%; restaurant and café service remains 12%. Alcohol and other exclusions require separate classification. The temporary food change is scheduled through the end of 2027.
For an international business, rate selection follows the prior questions: where is the supply taxed, is the customer a business or consumer, and who must account for VAT? Digital sales, imports, marketplace transactions and inventory in other countries may add registrations or reporting. Do not infer a Swedish VAT exemption solely from a foreign customer address.
Salary cost includes employer obligations beyond cash pay
The standard 2026 employer contribution is 31.42%. No general salary cap is applied to that standard base. Age-based exceptions exist, and the temporary 19–23 year-old reduction applies 20.81% to the first SEK 25,000 of monthly remuneration during 1 April 2026–30 September 2027, with the normal rate above that limit.
The employee’s net salary is not the company’s cost. Occupational pension commitments, insurance, paid leave, benefits and any special payroll tax on pension costs can add to employer expenditure. This guide does not produce a salary-to-net calculator because all municipal schedules, deductions, credits and employment-specific costs have not been independently modelled.
Moving assets or operations can create an exit charge
Business withdrawal taxation can arise when an asset leaves the taxable business, operations cease or Swedish taxing rights over business income end. Market-value consequences under Chapter 22 need to be reviewed before functions, assets or PE activity move abroad. Deferral and EU/EEA conditions are transaction-specific, not an automatic exemption.
A limited company must maintain accounts and file its income-tax return even without trading. Preliminary tax is normally paid monthly and should be updated as forecasts change. Employer and VAT returns have their own cycles. Build a responsibility calendar across the Swedish company, foreign operations and the owner so that a completed formation is followed by compliant operation.
