A place for active regional operations

Singapore can work well when there is a commercial reason for decisions, customers, staff or capital to be there. Its immigration and tax systems ask different questions. A company can be incorporated locally without its owner qualifying to work there, while an Employment Pass does not make every foreign company that the owner controls a Singapore resident.

Living there is part of the calculation

A business move should include the cost and suitability of housing, schooling, healthcare, travel and a spouse’s activities. Those are not secondary details when the structure relies on the family actually living in Singapore. A short reconnaissance visit can help test the practical plan before long contractual commitments.

Choose the route before the company

The Employment Pass is tied to qualifying employment and employer assessment. The Global Investor Programme is for investors with the required track record and significant commitments; it is not an ordinary small-company visa. Permanent residence and citizenship remain separate decisions. For corporate tax, strategic decision-making has to be assessed on what actually happens.

Singapore works best when there is a reason to operate here

For an international entrepreneur, Singapore can be a regional headquarters, a place to employ a leadership team, an investment-management centre or a personal home. These are different projects. A company whose commercial decisions and customers are all elsewhere should not select Singapore solely because an incorporation agent can register it quickly. The business needs a credible operating model, an appropriate immigration route for anyone working locally and a bank willing to support its real transactions.

Start with a functional map: where products are developed, contracts negotiated, management decisions made and money collected. Then decide which functions should genuinely move. Maintaining a local company creates governance, accounting and tax obligations even when revenue has not started. A company that can fund a credible role, salary and premises is in a different position from a newly registered entity with no activity.

A work pass, permanent residence and citizenship are separate decisions

The Employment Pass is tied to qualifying employment. Salary thresholds vary with age and sector, and COMPASS can assess both the individual and the employer. Owning the company does not bypass those tests. The Global Investor Programme is a separate route aimed at applicants with the required business or investment track record and substantial qualifying commitments. It should not be presented as a modest company-formation package.

Assess the whole household before applying. A spouse’s permission to live in Singapore is not automatically permission to work in any role. For a family considering permanent residence, Re-entry Permit requirements and applicable National Service obligations belong in the initial discussion. Citizenship is a further discretionary process with its own conditions and restrictions on adult dual nationality. A work pass does not come with a guaranteed conversion timetable.

Source, receipt and control matter more than an offshore label

A company’s tax residence is determined by where control and management are exercised. IRAS looks beyond the place of incorporation and can examine whether Singapore directors actually make strategic decisions. This is particularly important for foreign-owned passive investment companies that follow instructions from overseas shareholders. A resident director hired to sign paperwork does not by itself create a defensible management story.

The taxation of foreign income also differs between companies and individuals. Corporate foreign-income exemptions have conditions; foreign-asset disposal gains can fall within section 10L from 2024. Model a future sale of the business, not only annual trading profit. The personal investment treatment of the shareholder is not a substitute for analysing the company that owns and sells the asset. The route through which proceeds are received also deserves review before the payment is made.

Budget for the operating relationship, not just registration

The implementation file should cover bank ownership and transaction evidence, payroll, accounting, the registered office, statutory administration and tax filing. A bank may support one combination of industries and payment corridors while declining another. Review account functionality and counterparty restrictions as well as minimum balances and published fees. Deposit insurance is a distinct question: Singapore-dollar eligible deposits and foreign-currency balances do not have identical protection.

For a founder moving personally, prepare departure analysis in the current country before moving management to Singapore. For an owner staying overseas, test their home-country CFC and corporate-residence rules. A sensible structure should also survive an eventual departure: employee tax clearance, treatment of deferred remuneration and continued management of the company should be part of the design. Offshore Capitalist can coordinate these international workstreams and identify which local regulated work must be separately provided.
