What the tax system covers

Singapore taxes locally accruing income and foreign income received in Singapore, subject to exemptions and other rules. The source, deemed-receipt and foreign-income relief tests justify a mixed classification rather than a blanket territorial or worldwide label.

When a company becomes tax resident

IRAS examines where policy and strategy decisions are made. Board meetings in Singapore are relevant but may not be enough. Foreign-owned passive investment companies face particular certificate-of-residence considerations. Keep evidence of who made decisions, their knowledge and their authority. A nominal director who follows instructions from abroad is not a substitute for real control.

Rates and the tax base

17% ordinary corporate income tax. Charged on taxable income before considering qualifying partial/start-up exemptions, rebates, incentives and minimum-tax rules. A company’s year of assessment normally follows its financial-year income.

Outbound dividends, interest and royalties

Dividends: 0%. Singapore does not impose withholding on ordinary company dividends. Trust distributions and other payment types must be classified separately.

Interest: 15%. Gross interest and loan-related payments ordinarily attract 15% where the nonresident earns the income through operations outside Singapore. Domestic exemptions and payments connected with Singapore operations can change the result; treaty relief is separate.

Royalties: 10%. The gross rate for covered royalties is 10% where the income is derived through operations outside Singapore. Software, equipment, services and a Singapore permanent establishment require separate characterization.

Foreign income needs a transaction-by-transaction analysis

Foreign-source dividends, foreign branch profits and foreign service income have a conditional corporate exemption framework. The statutory meaning of receipt can also be wider than an incoming transfer to a Singapore bank. Review how overseas income is applied, including settlement of business liabilities. Keep foreign tax assessments and evidence of the income’s source with the Singapore computation.

Section 10L, effective for relevant foreign-asset disposals from 1 January 2024, creates another layer for entities in relevant groups. Foreign gains received in Singapore may be taxable when economic substance is insufficient; intellectual-property gains have a distinct treatment. This is why an acquisition or holding structure should be tested at the eventual disposal stage. Describing a gain as capital is not a complete section 10L analysis.

Model the shareholder and the company separately

A corporate distribution, salary, management fee and shareholder loan have different legal and tax characteristics. Match the payment to a genuine entitlement and document intercompany services and pricing. A personal portfolio held directly should not be assumed to receive the same treatment when contributed to a company or trust. Similarly, a Singapore incorporation does not neutralise CFC or management rules in an overseas owner’s residence country.

Before implementation, prepare an entity chart, income map and dated list of decision-makers. For a future move, add employment clearance and deferred compensation to the analysis. The objective is a structure that can explain both its annual income and its eventual exit, supported by contracts, accounts and operational evidence. A certificate of residence is one piece of evidence for treaty use, not a universal clearance from every taxing authority.

A company may stay when its owner goes

Determine where strategic control will be exercised after departure. Appointing another resident director for company-law purposes does not necessarily retain Singapore tax residence. Update bank records, work-pass and immigration arrangements, payroll and tax correspondence. This is a targeted clearance and continuing-obligations analysis, not a statement that every departing person pays a broad portfolio exit tax.

Decide who will manage the company after you leave

If the Singapore business continues, assign genuine decision-making authority and review the directors, staff and premises supporting its residence. A founder who takes every strategic decision from a new country can change the company’s tax profile without changing its incorporation. Foreign-owned passive holding companies deserve particular attention because IRAS does not infer Singapore residence merely from registration.

Review any Re-entry Permit and family status separately from tax residence. Update banks and investment providers with accurate address, residence and tax-identification details. Maintain access to company and personal tax portals, retain records and appoint an appropriate contact for notices. A clean handover documents what remains in Singapore and what has actually moved, including assets, functions, contracts and authority.

Singapore works best when there is a reason to operate here

For an international entrepreneur, Singapore can be a regional headquarters, a place to employ a leadership team, an investment-management centre or a personal home. These are different projects. A company whose commercial decisions and customers are all elsewhere should not select Singapore solely because an incorporation agent can register it quickly. The business needs a credible operating model, an appropriate immigration route for anyone working locally and a bank willing to support its real transactions.

Start with a functional map: where products are developed, contracts negotiated, management decisions made and money collected. Then decide which functions should genuinely move. Maintaining a local company creates governance, accounting and tax obligations even when revenue has not started. A company that can fund a credible role, salary and premises is in a different position from a newly registered entity with no activity.

Source, receipt and control matter more than an offshore label

A company’s tax residence is determined by where control and management are exercised. IRAS looks beyond the place of incorporation and can examine whether Singapore directors actually make strategic decisions. This is particularly important for foreign-owned passive investment companies that follow instructions from overseas shareholders. A resident director hired to sign paperwork does not by itself create a defensible management story.

The taxation of foreign income also differs between companies and individuals. Corporate foreign-income exemptions have conditions; foreign-asset disposal gains can fall within section 10L from 2024. Model a future sale of the business, not only annual trading profit. The personal investment treatment of the shareholder is not a substitute for analysing the company that owns and sells the asset. The route through which proceeds are received also deserves review before the payment is made.

Foreign companies and income attribution

This draft does not verify the absence of CFC legislation. Source, corporate residence and shareholder-country rules remain material.

Departure, migration and continuing obligations

An employee's tax-clearance or deemed-equity rules are not a corporate emigration charge. Review cessation, assets transferred, continuing Singapore operations, residence and outstanding returns separately before moving company management.
