Individual residence is a factual and statutory test
IRAS explains the 183-day test and administrative treatment for some multi-year employment patterns and work-pass holders. A pass valid for at least a year can lead to initial resident treatment, with review when employment ends. Temporary absences associated with employment can count. Do not use the stamp on a work pass as the only evidence.
Overseas income needs correct classification
IRAS generally exempts overseas income received by individuals, including deposits into Singapore accounts, but identifies exceptions. Services performed in Singapore do not become overseas work simply because the customer or payer is abroad. Companies have different foreign-income exemptions and conditions. Split employment, trade, dividends, rent and gains before estimating a result.
Corporate residence follows strategic control
IRAS examines where policy and strategy decisions are made. Board meetings in Singapore are relevant but may not be enough. Foreign-owned passive investment companies face particular certificate-of-residence considerations. Keep evidence of who made decisions, their knowledge and their authority. A nominal director who follows instructions from abroad is not a substitute for real control.
Residence affects benefits but does not settle source
For individuals, IRAS provides the 183-day residence test and specific administrative concessions for qualifying employment spanning multiple years. The actual concession conditions matter, particularly for directors and short assignments. Income from services performed in Singapore does not become foreign-source merely because a foreign company pays it into a foreign account. Distinguish employee salary, directors’ fees, business income, dividends and investment gains.
For companies, establish where strategic control is exercised. IRAS specifically warns that Singapore board meetings may be insufficient if the facts show decisions are made elsewhere. Review the authority and participation of directors, the location of key employees and who sets commercial policy. Minute the decisions that actually occurred; documents should evidence reality, not create a retrospective story.
Foreign income needs a transaction-by-transaction analysis
Foreign-source dividends, foreign branch profits and foreign service income have a conditional corporate exemption framework. The statutory meaning of receipt can also be wider than an incoming transfer to a Singapore bank. Review how overseas income is applied, including settlement of business liabilities. Keep foreign tax assessments and evidence of the income’s source with the Singapore computation.
Section 10L, effective for relevant foreign-asset disposals from 1 January 2024, creates another layer for entities in relevant groups. Foreign gains received in Singapore may be taxable when economic substance is insufficient; intellectual-property gains have a distinct treatment. This is why an acquisition or holding structure should be tested at the eventual disposal stage. Describing a gain as capital is not a complete section 10L analysis.
