Tax clearance can affect cash flow

An employer generally must notify IRAS at least one month before a noncitizen employee ceases employment, leaves for more than three months or takes an overseas posting, subject to exemptions. Money payable may have to be withheld until clearance. Build this into final salary and relocation budgeting rather than discovering it after a flight is booked.

Review equity and deferred compensation

Share options, share awards, bonuses and deferred remuneration deserve their own departure review. Some employment equity can be subject to deemed exercise or other clearance treatment. Compile award documents, vesting dates, grant histories and employer reporting early. A brokerage account location does not settle the employment-income question.

A company may stay when its owner goes

Determine where strategic control will be exercised after departure. Appointing another resident director for company-law purposes does not necessarily retain Singapore tax residence. Update bank records, work-pass and immigration arrangements, payroll and tax correspondence. This is a targeted clearance and continuing-obligations analysis, not a statement that every departing person pays a broad portfolio exit tax.

Tax clearance is an employer responsibility with cash-flow consequences

IRAS generally requires an employer to seek clearance when a non-citizen employee ceases Singapore employment, takes an overseas posting or leaves for more than three months, subject to specified exceptions. Form IR21 is normally due at least one month before the relevant event. Withholding of amounts due starts when the employer knows about the impending cessation or departure, not only on the final day.

This can affect salary, bonuses and other sums the employee expected to use for the move. An owner employed by their own company must treat the company’s obligations seriously too. Check the exceptions for permanent residents who remain in Singapore and qualifying temporary postings instead of assuming every foreign employee has the same process.

Deferred remuneration needs its own departure analysis

Prepare a schedule of bonuses, share awards, options, vesting dates and post-departure payments. Employment-related equity can involve deemed-exercise or other clearance rules; obtain a calculation using the exact award terms rather than treating departure as an automatic tax-free disposal opportunity. Additional income may require an amended or additional IR21 before release.

Keep the final assessment, employer filings and evidence of tax paid. The destination may tax a later payment or vesting event under a different timing rule. That mismatch can make treaty allocation, foreign tax credits and documentation important even when the Singapore employer has completed clearance. Closing the bank account before receiving refunds or final pay can add avoidable administrative difficulty.

Decide who will manage the company after you leave

If the Singapore business continues, assign genuine decision-making authority and review the directors, staff and premises supporting its residence. A founder who takes every strategic decision from a new country can change the company’s tax profile without changing its incorporation. Foreign-owned passive holding companies deserve particular attention because IRAS does not infer Singapore residence merely from registration.

Review any Re-entry Permit and family status separately from tax residence. Update banks and investment providers with accurate address, residence and tax-identification details. Maintain access to company and personal tax portals, retain records and appoint an appropriate contact for notices. A clean handover documents what remains in Singapore and what has actually moved, including assets, functions, contracts and authority.
