A Singapore company can give your business a practical base for customers, people and operations in Asia. We help connect the company choice with the work around it: ownership, real management, local administration, banking and the first filing cycle. Start with your plans; we will define an implementation scope with clear responsibilities and a complete budget.
Private company limited by shares (Pte. Ltd.)
A new private operating company, including a company with foreign owners. A branch, fund, regulated financial business, family-office vehicle or redomiciliation needs a different scope. Requirements and authority charges were checked on 12 October 2026. Registration, banking and any work-pass application remain separate decisions.
Official-source research checked 2026-10-12
- Local director
- At least one ordinarily resident in Singapore
The local director must be an eligible individual aged 18 or above. Other directors can live abroad. An employment or residence document must permit the proposed role; holding a pass is not enough to assume it does.[4][5][33]
- Company secretary
- Appoint within six months
The secretary must meet local-residency and qualification requirements. The sole director cannot also be the company secretary. Agree an ongoing appointment, not just an incorporation filing.[4]
- Registered office
- A Singapore address with reliable access
The office must meet the accessibility requirements, including at least three hours on each business day. It can differ from the operating premises. A mail address is not evidence of a team or strategic management.[3]
- Share capital
- At least S$1 in share capital
ACRA distinguishes the amount committed from the amount actually paid. Shares can be partly paid. Record the issue, payments and unpaid balance accurately; the minimum capital figure is not a realistic operating budget or a bank requirement.[7]
- Foreign founders
- Confirm the registered CSP route
ACRA directs foreign founders to a corporate service provider for reservation and registration. The accepting Singapore provider, director arrangement and responsibility for filings are confirmed before engagement.[6][9]
- Ownership transparency
- Controllers and nominees must be identified
Unless exempt, new companies provide the applicable controller and nominee information at incorporation. A nominee does not conceal the real owner from the relevant authorities or financial institutions.[10][12][35]
What the engagement can cover
- Assess the company’s purpose within your wider business: owner residence, actual decision-making, activity, customers, staff and the countries involved. Identify when detailed structure or tax analysis should precede formation.
- Confirm an appropriate registered Singapore CSP and the local-director, secretary and office arrangements needed for the proposed company. Identify provider acceptance, duties and exclusions before instruction.
- Coordinate the agreed company design and registration, including the name, constitution, share information, officer consents and required ownership or nominee disclosures.
- Connect the incorporation file with the banking, GST, payroll or other registrations expressly included in the proposal. Prioritise any account, licence or work-pass dependency that could prevent the business from operating.
- Organise the agreed records and handover, showing what is complete, what awaits an institution’s decision, who handles correspondence and which first-year obligations follow.
The inquiry establishes fit and current provider availability. We agree the deliverables, local CSP and professional responsibilities in writing. Offshore Capitalist does not internally provide foreign management; any independent management arrangement is separately identified and scoped.
Tax and management in Singapore
Singapore taxes locally accruing income and foreign income received in Singapore, subject to exemptions and other rules. The source, deemed-receipt and foreign-income relief tests justify a mixed classification rather than a blanket territorial or worldwide label.
Strategic decision-making determines company residence; local incorporation or meetings alone may not suffice.
Read the corporate tax guideWhat you receive
- An agreed formation route and responsibility schedule, based on the company’s actual operating and ownership facts.
- The successfully registered company’s incorporation and constitutional records covered by the engagement, with ownership and appointment information organised for the next stage.
- Evidence of the additional registrations or account applications included in scope, with outstanding conditions clearly recorded.
- A first-year handover covering provider contacts, recurring commitments, key filings and responsibilities for future changes.
Costs to budget for
Government charges
These are authority charges for the specified route. Our service fee and other provider costs are quoted separately.
| Item | Amount | What it covers |
|---|---|---|
| Name application | SGD 15 | Non-refundable application charge, including when the name is unavailable or the application is withdrawn. A new application creates a further fee.[1][2] |
| Company incorporation | SGD 300 | ACRA registration charge. Together with one name application, the ordinary registry setup charges are S$315. This excludes our work, the local CSP, secretary, address, director arrangements and banking.[1] |
| Annual return | SGD 60 | Registry charge per annual filing. Accounts, tax preparation, secretarial work and any audit are separate services. This is not the total annual cost of keeping the company.[1] |
We quote after reviewing the business and confirming the available route. Our proposal separates coordination and implementation from the government charges, Singapore provider work and recurring services. Capital, deposits and bank balances are shown separately from fees. The official charges shown are registry costs, not a package price.
Initial setup
Formation, registrations, certification, translation and agreed implementation work.
Recurring costs
Local address or agent, administration, accounts, returns, licences and any genuine management arrangement.
Separate workstreams
Banking, residence, tax analysis, legal opinions and regulated-activity permissions where required.
Setup process & timing
Follow the sequence from preparation to operation. Published government processing targets apply to the stated filing stage; banking, document preparation and additional permissions have their own dependencies.
01Define the operating purposeBefore committing to Singapore
Tell us why the company is needed and what must work on day one. We consider the owner’s home country, actual management, customer contracts, staffing and banking needs together. The initial inquiry establishes fit; detailed structural analysis, if needed, is scoped separately.
Documents & evidence
- Activity and transaction summary
- Ownership and residence outline
- Target launch and relocation plans
- Choosing a jurisdiction before confirming the account or licence on which the business depends.
02Agree the local providers and responsibilitiesBefore the name and filing instructions are finalised
Confirm the accepting registered CSP and the resident director, secretary and office arrangements. Define which work Offshore Capitalist coordinates and what the local provider performs. The written proposal separates implementation charges, recurring costs and any money held as capital or security.
Documents & evidence
- Provider acceptance and written scope
- Director/secretary consent and responsibility schedule
- Treating a nominee director as a signature rental or as an automatic tax-residence solution.
03Reserve the name and approve the company designName reservation lasts 120 days
The name application includes the intended activity classification. Most are processed soon after payment; ACRA review can take up to three working days and referral-authority name review up to 15 working days. Finalise the constitution, share rights, financial year end and disclosure records while the name is reserved.
Documents & evidence
- Name reference and SSIC activities
- Constitution and share schedule
- Controller and nominee information
- Mistaking a reserved company name for trademark protection.
- Letting a reserved name expire before the required evidence is ready.
04File the incorporation applicationRegistry guidance: usually soon after payment; complex or referred cases take longer
Submit the complete accepted application through the agreed filer. ACRA states complex registrations may take up to 15 working days and cases needing referral-authority approval 14–60 days. These are registry processing indications, not our promised end-to-end delivery time. Check the issued records and complete applicable central-register filings at incorporation.
Documents & evidence
- Approved application, consents and payment
- UEN and company records once registered
- Starting a regulated activity before its separate approval.
- Leaving controller or nominee details for a later annual filing.
05Make the company ready to transactAfter incorporation; institution and activity dependent
Prepare the agreed banking application, tax access and relevant GST or employment setup. Confirm the account’s actual currencies, receiving details and payment functions before directing customers to use it. Work-pass, bank and tax-registration decisions have their own evidence and review requirements.
Documents & evidence
- Account application and signatory authority
- Funding and customer/supplier evidence
- GST and workforce assessment
- Assuming registration guarantees account approval.
- Confusing the GST application deadline with the effective registration date.
06Hand over the first-year operating fileAt setup completion, with pending items identified
Deliver the agreed completed records, identify outstanding approvals and assign the recurring tasks. Arrange bookkeeping from the first transaction. Confirm secretary and auditor obligations, financial-statement preparation, tax submissions and the calendar for changes in owners, officers and controllers.
Documents & evidence
- Company file and access responsibilities
- First-year filing calendar
- Recurring provider scope and budget
- Assuming an audit exemption removes accounts or tax-return duties.
- Assuming a dormant company can simply be ignored.

Ongoing obligations & deadlines
Secretary appointment
Maintain the appointment thereafter; the role cannot remain vacant for more than six months. A sole director cannot fill both positions.[4]
Auditor, where required
Company and officer changes
Notify the secretary promptly. Each change has its own filing rule; an annual return is not a universal deadline for updating everything.[4]
Controller and nominee register changes
For RORC changes, update the private register within seven days after the controller’s notification and file centrally within two business days after that update. Central nominee-register changes are due within two business days after updating the private nominee registers; confirm the underlying private-register obligation separately.[10][12]
Annual controller verification
AGM or valid exemption/dispensation
A private company can qualify for an exemption by sending statements to members within five months, subject to their meeting rights. An agreed dispensation is another route. Record the actual basis rather than simply omitting the AGM.[14]
ACRA annual return
Estimated Chargeable Income
The common waiver requires both annual revenue of S$5 million or less and nil ECI before startup/partial tax exemption. A low tax bill after exemptions is not the same as nil ECI.[20]
Corporate Income Tax Return
Determine the first YA from the first accounts and business-start facts; incorporation in 2026 does not automatically create a YA 2026 filing. A loss or dormancy does not automatically give a waiver. Record any applicable approved waiver or special filing concession.[21]
Corporate tax payment
Payment remains due even if the company contests the assessment. Approved GIRO instalments have their own conditions; assign responsibility for notices and payment separately from return preparation.[21]
GST monitoring and digital invoicing
Employment and payroll reporting
Tax, banking & practical questions
When does a Singapore company make sense?
A company can support a Singapore operating team, a regional sales or procurement function, or a defined subsidiary in an international group. The useful question is what the entity needs to do: contract with customers, employ people, receive particular currencies, own intellectual property or fund another operation. Those functions determine the appropriate ownership, management and supporting agreements.
Bring the existing group structure and the countries in which the work is performed. A commercial reason for Singapore is more informative than choosing it from a tax-rate table. Our role is to connect the agreed formation with the surrounding implementation, identifying additional analysis before you commit.
When should I reconsider the structure first?
Pause if the plan relies on guaranteed banking, anonymity, an automatic work pass or untaxed income simply because clients are overseas. Another warning sign is a company whose directors are expected to sign decisions already made elsewhere without genuine authority.
An investment-holding structure, a regulated business, a branch or a founder relocation can still warrant Singapore analysis, but each needs its own scope. Start with a structure review when the unresolved issue is how the arrangement works across countries.
[17][6]Can I own the business while remaining abroad?
Foreign ownership and nonresident directors are possible, while at least one eligible director must be ordinarily resident in Singapore. The resident director need not be given ownership merely to occupy that office; ownership and board appointments are separate decisions. Confirm any activity-specific ownership or licensing restriction.
If you later move to run the company, assess your work permission before doing so. Existing pass holders also need to check their own conditions; MOM requires the relevant approval before an EP holder takes a secondary directorship in another company.
[7][3][5][6][33]What does the local director actually do?
A director has duties to the company. Specify authority, decisions, access to information and reporting instead of treating the appointment as a name on a form. A business nominee appointment must be arranged through a registered CSP that assesses the individual as fit and proper under the regime effective from 9 June 2025.
Offshore Capitalist does not internally provide foreign management and control. Where a genuine management arrangement is needed, we can help assess the need and connect you with independent providers, with availability and responsibilities confirmed. Read about foreign management and control before choosing an arrangement.
[4][9]Does incorporation establish Singapore tax residence?
No. IRAS examines where strategic control and management is exercised. A local address, an incorporation certificate or a resident director alone does not settle that question. The decision-making evidence, director authority and wider facts matter; a board meeting in Singapore is not conclusive in every case.
This is particularly relevant to a foreign-owned passive investment company that follows overseas instructions. Review the treaty and Certificate of Residence position before assuming reduced withholding abroad. The Singapore corporate tax guide explains the broader framework.
[17]What tax relief can a new company actually use?
Singapore’s headline corporate rate is 17%. For qualifying startups, the first three consecutive Years of Assessment can receive a 75% exemption on the first S$100,000 of normal chargeable income and 50% on the next S$100,000. This is an exemption of income, not a 75% reduction of every tax bill.
The company must meet Singapore incorporation and tax-residence requirements and the beneficial-shareholding conditions: no more than 20 direct shareholders, all individuals or at least one individual holding at least 10% of issued ordinary shares. Investment holding and property development are excluded from this startup scheme. A non-qualifying company may have other relief. Do not include temporary rebates in a permanent advertised rate.
[18]Are overseas customers or receipts automatically tax-free?
No. Identify the actual source of income, work performed and circumstances of receiving foreign income in Singapore. Foreign income from a trade or business carried on in Singapore is taxable as it accrues, even if the money is not received in Singapore. Specified foreign-income exemptions have conditions; they are not a blanket rule for every foreign invoice.
The owner’s country may also tax the business, attribute income or apply reporting rules. Related-party payments and distributions need a coherent analysis across the countries involved. The formation scope should identify when that work is needed rather than assume a Singapore registration has answered it.
[19]When must the company register for GST?
Under the ordinary retrospective test, taxable turnover above S$1 million for a calendar year generally triggers an application between 1 and 30 January of the next year, with registration from 1 March. The prospective test applies when the next 12 months’ taxable turnover can reasonably be expected to exceed S$1 million.
For a prospective liability arising from 1 July 2025, apply within 30 days of the forecast; the effective date is two months from the forecast. Exceptions and different supply regimes need assessment. Voluntary registration also creates continuing obligations, including the current InvoiceNow requirements for new voluntary applicants.
[22][24]What should a foreign-owned banking application contain?
Prepare a consistent explanation of ownership, customers, suppliers, source of funds and expected payments, supported by the records the selected institution requests. Entity and controlling-person tax self-certifications must reflect the actual facts.
Foreign-owned companies can apply, but the route is not necessarily the instant online flow offered to a simple local business. For example, DBS directs nonresident-owned and foreign-corporate-owned applicants through relationship-manager assistance. This illustrates an institution’s process; it is not a claim of a partnership or acceptance. We confirm the proposed route before including account work in your scope. See the Singapore banking guide.
[34][35]How much of the ownership information becomes public?
The company must identify controllers and disclose applicable nominee arrangements. Current nominee status appears in the purchasable company Business Profile. ACRA says nominator identities, dates and historic nominee arrangements are not publicly available through those registers.
Restricted public access does not mean information is withheld from authorities, the registered CSP or a bank’s due-diligence process. Choose a suitable service/contact-address arrangement for personal correspondence, and supply accurate underlying details.
[12][10][35]Who counts as a registrable controller?
Look beyond the immediate shareholder. The tests include a direct or indirect interest above 25% in shares or voting power, rights to appoint or remove directors carrying a majority of board voting rights, and other significant influence or control. Both people and legal entities can qualify.
Provide the full ownership and control chain so the accepting CSP can assess the applicable entries and any exemption. After incorporation, the company must verify its recorded controllers annually; the ownership information is a continuing obligation.
[11]What changes when I hire the first employee?
Plan employment terms, pay cycles, leave, insurance and the worker’s right to perform the role. The Employment Act’s coverage and particular protections need to be assessed for the actual position; incorporating a company is not employment compliance.
CPF generally applies to eligible citizen and permanent-resident employees, with rates affected by age and status. Foreign employees are generally exempt from CPF, but SDL still applies to employees working in Singapore subject to its rules: 0.25% of monthly wages, with a S$2 minimum and S$11.25 maximum per employee. The 2026 CPF ordinary-wage ceiling is S$8,000 a month; bonuses/additional wages have a separate ceiling. Price the actual workforce rather than applying one percentage to everyone.
[29][25][26][27][28]Will the company qualify me for a work pass?
Company ownership does not grant immigration permission. EntrePass is aimed at qualifying venture-backed or innovative-technology businesses and applicants who meet MOM’s criteria; it is not a general residence programme for anyone who opens a company. Other passes have their own employer, role and applicant requirements.
If relocation is part of the objective, discuss it before the implementation order is fixed. Connect the company plan with the Singapore relocation guide and assess the appropriate pass separately.
[6][32][33]Will the company need an audit?
The small-company exemption generally requires a private company to meet at least two of three criteria: revenue no more than S$10 million, assets no more than S$10 million and no more than 50 employees. The two-year rules, new-company provisions and group figures matter. A small Singapore subsidiary does not automatically qualify if the wider group is too large.
An audit exemption does not decide whether the company must prepare or file financial statements. Agree both the accounting and filing position, including the applicable XBRL requirements, with the accountant and secretary.
[15][16]What is included in the full setup price?
We confirm a written scope after understanding the owners, activity and dependencies. It separates Offshore Capitalist’s work, the Singapore CSP and other professional work, government fees, secretary and office costs, and any director arrangement. Banking, tax analysis, payroll and immigration work are included only where stated.
Ask for the first-year total and the recurring budget, including any separately required deposit, capital or account balance. A S$315 registry cost is useful to know, but it does not describe the cost of operating an adequately supported Singapore company.
What happens after incorporation?
You receive the agreed records and a handover distinguishing completed work from pending third-party decisions. We identify the next filings, who monitors correspondence and the responsibilities of each provider. Ongoing administration or later reviews can be separately agreed.
Keep the arrangement under review when an owner moves, management shifts, another company joins the group, turnover changes or the first employees are hired. Each can alter an assumption on which the original setup depended.
Why work with us
- We consider Singapore in the context of the owner’s countries and the business’s real operations. A local company should solve a defined problem within that wider picture.
- We explain the tradeoffs before the filing. A director arrangement, tax-residence position and workable bank account deserve attention while the structure can still be changed.
- Our advisory and fulfilment teams connect the design with implementation and a practical handover. Local regulated work remains with the identified provider responsible for it.
- You can begin with a focused formation inquiry or a broader structure review. The work follows the question that actually needs resolving.
Things to watch out for
A resident director is a real appointment
The statutory local-presence requirement and tax control-and-management analysis are separate. Make sure the person’s authority and actual conduct match the arrangement.[4][17]
Nominee arrangements are now centrally reported
New entities must provide applicable nominee information at incorporation. The nominee label is public in the Business Profile, although full nominator records are restricted.[12]
Issued capital is not the same as paid-up capital
Record what was actually paid and what remains due. A capital commitment is not an incorporation fee and does not replace operating cash.[7]
An exemption from audit is not an exemption from accounting
Check company and group criteria, financial-statement filing, annual return and tax obligations separately.[15][16][13]
A bank application can change the critical path
Account type, ownership, activity and evidence determine the route. Confirm the needed payment functions before promising them to customers.[34]
A fast registry filing does not shorten the other approvals
Work passes, referred activities, banks and provider acceptance have independent decisions and timelines. Plan contracts and hiring around the unfinished dependencies.[3][32]
GST application and commencement dates are different
A new prospective liability has a 30-day application deadline and a two-month effective-registration rule. Do not apply the older 31st-day rule to a current forecast.[22]

Confirm in your scope
- Singapore provider acceptance, registered CSP identity, resident-director availability, service scope, professional fees, security arrangements and recurring prices are confirmed in the written proposal before engagement.
- This ordinary-company guide does not determine eligibility for regulated activities, immigration, tax-residence certification, incentives, treaty relief or a particular bank. Those decisions require the actual facts and, where needed, separately scoped professional work.
- Accountant and secretary confirm the precise first financial year, filing form, financial-statement format, audit exemption and any special deadline concession. Employment costs depend on the actual people and pass categories.
