No ordinary corporation tax does not mean no obligations

The General Registry confirms that incorporated companies are not subject to Cayman income tax, capital gains tax or other ordinary direct taxation. This is the domestic starting point, not an exemption from the tax laws of places where owners, directors, workers or assets are located.

A credible operating plan records what the entity does, who makes decisions, where work happens, which licences are needed and how payments reach the company. Offshore incorporation alone does not determine any foreign CFC, management-and-control, permanent-establishment or transfer-pricing result.

Choose the entity by function

The company form should follow the commercial and governance requirements. A foundation’s ownership and purpose provisions, for example, should be analysed alongside beneficiaries, controllers and foreign tax treatment. No entity label independently delivers asset protection or tax neutrality in every other jurisdiction.

FormTypical planning distinction
Ordinary resident companyBusiness conducted within Cayman; local licensing and ownership-control requirements need assessment
Exempted companyActivities mainly outside Cayman; exemption is an entity category, not freedom from all compliance
Limited liability companySeparate legal personality with its own governance and membership framework
Foundation companySeparate legal entity capable of lawful objects; distinguish it from a trust relationship
Overseas companyForeign-incorporated entity registered for qualifying Cayman activity or property
Special economic zone companyZone permission and sector eligibility are separate from ordinary incorporation

Economic substance: classify before staffing

DITC’s regime covers relevant entities carrying on relevant activities, including banking, distribution and service centre business, financing and leasing, fund management, headquarters, holding company business, insurance, intellectual property and shipping. Definitions matter: the activity of an investment fund and the business of managing funds are not interchangeable.

A relevant entity conducting an in-scope activity generally needs the appropriate core income-generating activities in Cayman, direction and management where the full test applies, and adequate local expenditure, premises and qualified people for the activity and income. A fixed office-size or employee-count promise is not a universal legal test.

SituationWhat needs evidence
Full economic substance testCIGA, relevant direction/management, premises, people and local spending
Pure equity holding companyReduced test and applicable filings; adequate resources/premises for the holding activity
Claim of tax residence outside CaymanEvidence supporting the exclusion; not a tick-box assertion
No relevant income in the periodNotification/reporting may remain even when the substantive test is not required
More than one relevant activityAssess each activity separately

Management and control: three different questions

Cayman’s economic-substance direction-and-management requirement is not a general corporate income-tax residence test. A foreign authority may apply its own management or incorporation rules to the same entity. Cayman records should therefore correspond to real authority and decisions, rather than a meeting ritual detached from operations.

For the full substance test, DITC addresses board meetings, an appropriate quorum in Cayman, strategic decisions, informed directors and records. Pure equity holding companies have a reduced test and are not required by that reduced test to be directed and managed in Cayman. That distinction does not settle the foreign tax position.

  • Identify who can approve contracts, borrowing, investments and senior appointments.
  • Match the location of decision-makers to actual decisions and evidence.
  • Distinguish shareholder reserved matters from day-to-day company authority.
  • Analyse the foreign country’s rules independently of the Cayman substance classification.

Cash flows, withholding and foreign owners

Cayman’s ordinary no-direct-tax system does not impose the usual income-tax withholding on dividends, interest and royalties paid by a company. Receiving countries may nevertheless tax these amounts, and a payment sourced elsewhere may already have borne foreign withholding before reaching Cayman.

No general Cayman CFC income-attribution charge is identified within this domestic no-income-tax framework. This says nothing about the CFC or anti-deferral rules of an owner’s home country. A Cayman company controlled by a resident of another country needs a separate analysis there before profits are retained or distributed.

Annual administration and reporting

Give each obligation an owner and calendar. Registry filings and fees, beneficial-ownership information, economic-substance notifications and applicable returns, financial-sector reporting and business-licence renewals are separate tasks. A service provider handling the registered office does not necessarily undertake every one of them.

DITC guidance generally requires an in-scope economic-substance return within twelve months after the financial year end. Notification is a separate step. Read the current-year DITC instructions and the entity’s classification rather than assuming a dormant or no-income company has no filing requirement.

Employment costs and operating licences

For a covered employee, budget at least the employer’s pension share on capped pensionable earnings and the required health premium contribution. The standard pension ceiling is CI$87,000; health insurance has its own quoted premium rather than that earnings ceiling. Work-permit and occupation fees can be substantial and vary by role.

The national minimum basic wage became CI$8.75 an hour on 1 January 2026. Special categories and the treatment of leave, gratuities or accommodation require the relevant rules. An immigration investment certificate does not itself grant a trade-and-business or local-companies-control licence.

A structure that can be implemented

Before incorporation, settle the business activity, owners’ tax positions, intended management, capital movements and likely bank. Record a costed operating plan with substance, licensing and reporting responsibilities. That avoids discovering after formation that the proposed transaction flow or working arrangement cannot be supported.

We can coordinate company formation, banking and the wider international structure. Where independent foreign management is needed, we help assess the requirement and connect you with providers; the provider’s actual authority and delivery must be documented.
