First classify the income and the move

Dutch personal tax is not one flat charge on everything a resident earns. Box 1 concerns work and home income; Box 2 concerns substantial company interests; Box 3 concerns savings and investments outside the other boxes. The same founder can have salary, dividends and an ordinary securities portfolio in all three categories. A business’s turnover is not the founder’s taxable salary, and a dividend cannot be compared directly with a payroll deduction.

An arrival changes the scope of reporting. Record the actual move, homes retained, household location, workdays and company responsibilities. Foreign income can require relief rather than omission; social-insurance coverage is a separate international-law question. The tax authority’s immigration checklist expressly separates tax liability, insurance and the migration-year return.

Box 1 rates: distinguish tax, insurance and credits

For 2026, the ordinary pre-pension-age combined Box 1 bands are 35.75% through €38, 883, 37.56% on the next slice through €78, 426, and 49.50% above that. The first combined rate includes 27.65% national insurance when applicable: adding that percentage again would overstate the burden. Pension-age and partial-year insurance cases require different tables.

These are marginal rates before the applicable credits and deductions. A gross-to-net payroll calculation also needs the tax-credit profile, taxable benefits, pension deductions and insurance position. The figures here are not a net-pay calculator.

A founder’s shares and distributions belong in Box 2

A substantial interest generally starts with at least 5%, including the statutory related holdings and relevant classes or rights. Both regular benefits such as dividends and disposal gains can be taxable. The 2026 rates are 24.5% through €68, 843 and 31% on the excess. A salary paid by the same company remains a separate Box 1 item.

For an owner drawing money from a company, document whether each transfer is pay, dividend, debt repayment or borrowing. The 2026 guide also covers excessive borrowing from one’s own company, including the €500, 000 threshold and specific exceptions. A loan label does not on its own make a withdrawal tax-free.

Box 3: a return system, not a simple tax on sale proceeds

The 2026 Box 3 tax rate is 36% of the relevant taxable return, not 36% of the investment account’s value. In the provisional 2026 calculation, the authority uses 1.28% for bank balances, 6.00% for investments/other assets and 2.70% for deductible debts; the bank and debt percentages are provisional. The tax-free asset amount is €59, 357 per person. The composition and valuation date matter.

The separate actual-return route can be relevant when actual return is lower. Do not assume that only realized cash gains count or that the portfolio must be sold before any charge arises. Keep annual statements, values, income and transactions so the applicable calculation can be checked. Future Box 3 reform discussions must not be substituted for the rules of the year being filed.

Asset cost basis on arrival

An incoming company owner should obtain an evidence-backed share valuation before a later sale makes the question urgent. The tax authority’s Article 4.25 interpretation starts from market value on the commencement of resident taxation for qualifying substantial holdings, with statutory exceptions and previous Dutch connections needing review. Its separate partial-nonresident fact pattern illustrates why timing can differ for legacy users.

For example, a founder who bought shares for €100, 000 and arrives when they are worth €700, 000 should not assume that either figure automatically controls every future Dutch tax calculation. First identify Box 2 status, prior Dutch residence/taxability, applicable arrival adjustment and any foreign exit charge. A personal portfolio in Box 3 requires its own valuation/return records rather than a blanket copy of the company-share approach.

The Expat Scheme is conditional employment relief

The 2026 standard expertise salary test requires annual taxable salary excluding the allowance above €48, 013; reduced or specific academic cases have their own conditions. The residence-distance test normally examines more than 16 of the preceding 24 months beyond 150 km from the border. Employee and employer eligibility, the application and the salary after the allowance must all work together.

The facility can allow up to 30% as a tax-free allowance in 2026, but it is not a promise to reduce a person’s whole worldwide tax bill by 30%. New arrivals cannot simply assume the former partial-nonresident Box 2/Box 3 election: the authority limits the remaining transition to qualifying pre 2024 users through 2026.

For a full-year 2026 claim, the published maximum tax-free allowance is €78,600, corresponding to salary of €262,000 or more; a part-year claim is proportionate. The decision generally lasts up to five years, reduced for relevant previous Dutch work or residence. These caps and duration conditions must be included when comparing an offer.

Employee and employer charges use different bases

Employee national insurance is embedded in the ordinary first Box 1 band up to €38, 883 in 2026. For a normal insured employee, the employer’s Zvw health levy is 6.10% up to €79, 409. People in categories paying their own income-related Zvw contribution generally use 4.85% with the relevant ceiling; these are alternatives governed by the person’s situation, not two charges to add indiscriminately.

The employer also faces employee-insurance contributions, discussed in the corporate guide. A private health policy’s nominal premium and any occupational-pension contribution are not captured by the income-tax bands. Cross-border social-security certificates can change which system applies.

Departure can preserve a Dutch claim

Before leaving, inventory substantial interests, pensions, annuities and relevant home-linked products. A protective assessment can preserve a charge even though payment is deferred. Modern substantial-interest assessments can remain indefinitely; a later dividend, share sale or liquidation may require notification and payment. The ten-year cancellation concept applicable to some other preserved benefits is not a universal escape for company shares.

Separate the date tax residence ends from the tax collection consequences and from any continuing Dutch-source income. Compare the destination’s arrival treatment before restructuring or selling, so one country’s exit value is not assumed to be the other country’s recognized acquisition cost.

Build the annual file by category

Retain the migration dates and supporting household evidence, annual salary and pension statements, company ownership history, dividend decisions, investment balances and foreign tax assessments. Identify which foreign income or assets need treaty relief and which remain within the Dutch computation. An exemption claim and a zero-income entry are different positions.

Use the migration-year return when arriving or leaving, and follow the filing invitation and applicable extension procedure. This guide does not publish an unverified universal 2027 migration-return deadline. For an international owner, we can connect the personal file to the company’s management, payroll and distribution decisions.
