Separate incorporation, residence and the business footprint
A Dutch BV is a legal vehicle, not an answer to where all group profit should be taxed. The authority’s residence guidance looks at management, head-office location and shareholder meetings, while also treating Dutch-incorporated bodies as established domestically. A foreign company directed from a Dutch home or office therefore needs an actual-management review.
Build a factual chart: who approves prices and material contracts, who controls cash, where staff perform work and what each entity owns. Establish any source-country or permanent-establishment obligations and the treaty position before assigning profit to a company merely because it issued the invoice. The cited VAT fixed-establishment concepts should not be substituted for an income-tax treaty test.
2026 tax on profit and the distribution layer
The 2026 corporate schedule is 19% on taxable profit up to €200, 000 and 25.8% above it. For a company with €300, 000 taxable profit and no other adjustments, that is €38, 000 plus €25, 800: €63, 800 corporation tax. This illustrative profit amount is after relevant accounting/tax adjustments, not €300, 000 of sales.
A dividend paid to the owner is a separate event. Its withholding and the owner’s Box 2 or foreign-resident treatment must be modeled in addition to the company charge. Reinvested profit, a salary, a loan and a distribution are different cash and tax paths.
Holding-company relief requires a qualifying participation
The participation exemption can prevent another corporate charge on qualifying dividends and disposal gains. A holding of at least 5% is a common entry point, with statutory scope and exceptions; a small portfolio holding does not automatically become an exempt participation.
Investment participations require further testing, including the subject-to-tax or asset tests described by the authority. Keep the subsidiary’s ownership, activities, tax base and asset composition in the file. A company registered in a familiar treaty jurisdiction does not establish that every distribution qualifies.
Foreign retained income: control and designated jurisdictions
The Dutch CFC page identifies controlled entities in designated jurisdictions and counts associated holdings. It uses more-than 50% capital/voting rights or profit entitlement; designated jurisdictions include those with no profit tax or a rate below 9% at the specified reference date and the applicable EU list. Review the actual statutory rights rather than an informal description such as minority partner.
Identify the income type, distributions and activities and check applicable exclusions. A hypothetical Dutch controller holding 80% of a low-taxed investment subsidiary needs this review even where no dividend has yet been paid. These corporate rules cannot simply be pasted into the individual owner’s tax record.
Withholding: distinguish ordinary dividends and conditional payments
A domestic dividend starts from 15% withholding before relief. The separate conditional regime can apply at 25.8% to covered dividends, interest and royalties involving associated low-taxed entities or abuse. Where both dividend charges apply, the ordinary dividend tax offsets the conditional amount.
For each payment, identify the legal and beneficial recipient, the relationship, residence and any intermediary. Then establish the exemption or treaty procedure and collection timing. A comparison table displaying 25.8% as the rate on every foreign interest payment would give the wrong operational answer.
Losses and migrations need their own schedules
The authority’s loss-limitation example confirms that annual loss use can be constrained to €1 million plus 50% of profit above that amount. Having carried-forward losses therefore does not establish that all current profit can be eliminated. Keep the assessed losses, year and any changes in ownership or activity under review.
When moving a company or assets abroad, determine whether a Dutch claim is lost and final-settlement profit arises. Conversely, the authority’s 2025 conversion example states that changing a Dutch BV into a Luxembourg legal form without changing its actual establishment was not itself a taxable corporate event. Legal registration and the substantive move must be distinguished.
Employment law changes the cost and delivery plan
Statutory holiday allowance generally starts at 8% of gross wages, with specific collective-agreement and high-pay exceptions. Paid annual leave is at least four times weekly working hours. These obligations are separate from employer tax percentages. Check the applicable collective agreement rather than using a generic all-in uplift.
Ordinary sickness obligations can require at least 70% continued pay for up to two years, together with reintegration duties; first-year minimum-wage and special-category rules matter. A fixed-term contract ending during sickness and a pension-age worker are not identical cases. Build the employment agreement, absence arrangements and insurance decisions before hiring.
VAT follows the transaction
The standard VAT rate is 21%, with 9%, 0% and exempt categories. From 1 January 2026, specified overnight accommodation moved from 9% to 21%; the sector and supply classification matter. Zero-rating, exemption and reverse charging are different legal treatments with different evidence and input-tax consequences.
After business registration, establish VAT status and the actual supply chain: B 2 B or B 2 C, goods or services, locations, customer evidence and any cross-border reporting. Keep the assigned VAT return/payment calendar separate from corporation-tax and payroll filings. An international customer does not by itself turn an invoice into zero-rated revenue.
A practical corporate compliance file
Maintain the ownership chart, directors’ authority, contracts, accounting records, related-party pricing analysis, payroll category decisions and evidence for exemptions. Assign responsibility for tax returns, periodic payments and updates when personnel or management move. A structure that looks sound on paper needs records showing it operates that way.
This first guide does not yet quantify every interest-deduction limit, transfer-pricing documentation threshold, sector incentive or minimum-tax rule. Those are explicit scoping items for a client analysis, not presumed exemptions. We can connect the company plan to the owner’s residence and implementation requirements.
