A place to live and a place to do business
Mexico may be attractive as a home, a customer market, a production base or a location for employees. Each role needs a different plan. Living there while running a foreign company is not the same as owning a passive foreign investment.
Choose the intended city and daily working pattern alongside the immigration route. Access to customers, travel, schooling and banking should be tested against practical needs before a structure is built around a headline tax claim.
Immigration permission and tax residence are separate
Temporary or permanent immigration residence does not by itself describe the entire tax result. The Federal Tax Code looks at a home in Mexico and, where homes exist in more than one country, the centre of vital interests. Professional activity and the source of income are relevant.
The code also looks at where an entity has its principal administration or effective management. A founder’s relocation can therefore affect the company, even if its incorporation, customers and bank account stay abroad.
Foreign companies need a real analysis
Mexico has controlled-foreign-entity rules under the REFIPRE framework. Keeping profits inside a low-tax foreign entity is not automatically a way to defer the Mexican owner’s tax. Transparent entities and other ownership arrangements require separate classification.
The useful design starts with the commercial operation: where people work, who has authority, what services are provided and how related parties contract. The company’s paperwork should reflect those facts.
Arriving and leaving both need sequencing
Before arriving, map the expected residence date, foreign assets, companies and income. Before leaving, review the notice and proof-of-residence requirements and the rules for moves into preferential regimes. An exit should not be reduced to cancelling a lease or obtaining another country’s residence card.
Explore the relevant path
Our residence guide explains the consular and in-country stages; the tax guide covers the cross-border questions; the citizenship guide distinguishes naturalisation from residence permission. We can help compare Mexico with other options and coordinate a plan suited to the family and business.
A home can matter more than a day count
Federal Tax Code article 9 first looks at whether an individual has established a home in Mexico. With homes in more than one country, it examines the centre of vital interests, including whether more than half of total income is Mexican-source or Mexico is the principal centre of professional activity. It is not simply a 183-day test.
The code also presumes Mexican nationals resident unless they prove otherwise. Nationality, homes, work and source of income therefore belong in the same factual review. A person who spends less than half the year in Mexico but directs the business from a Mexican home should not treat the travel calendar as decisive.
The owner and company can each become taxable
Resident individuals and legal entities are within the worldwide-income rule in article 1 of the Income Tax Law. Companies generally calculate income tax at 30% of the fiscal result under article 9. That company-level figure does not include all costs of paying the owner or running the business.
An entity can be resident where its principal administration or effective management is in Mexico. A foreign incorporation is therefore only one fact. When a founder relocates, review decision authority, contracts, personnel and records before assuming the company can retain its former tax treatment.
Low-tax foreign entities require an attribution analysis
The REFIPRE regime can tax qualifying foreign-entity income before it is distributed. Its low-tax comparison uses 75% of the corresponding Mexican income tax, with detailed rules for the computation, taxes counted and exceptions. Headline rates alone are an incomplete screen.
Effective control extends beyond direct majority shares to vetoes, profit or asset rights, accounting consolidation and factual unilateral decision power. Related-person rights can be aggregated. The business-activity exception also has a passive-income limit and Mexican-source or deduction restrictions, so an online trading company should not assume it qualifies merely because it is active.
Residence implementation has a consular and a domestic phase
Temporary residence ordinarily addresses a stay longer than 180 days and no more than four years under the category described by the consulate. Financial means, family links and other grounds have different evidence. A Mexican employment offer generally starts with the relevant INM authorisation rather than a generic financial-means appointment.
After a residence visa is issued, admission and the in-country residence-card exchange remain separate. The consular instructions specify a thirty-calendar-day post-entry deadline for obtaining the card through INM. Make the move plan around the actual visa and entry procedure, not a visitor entry selected for convenience.
Plan the exit before it becomes urgent
The current code requires a residence-change notice in the fifteen-day period immediately preceding the change. Failure to notify can preserve Mexican residence, and proof of the new residence is also important. Moves into preferential regimes can retain residence for the departure fiscal year and five further years, subject to the specified cooperation exception.
A company ceasing Mexican residence faces a separate deemed-liquidation rule in Income Tax Law article 12, including a market-value treatment of its assets. Moving a shareholder, selling a business and migrating the entity are three different transactions; each needs a calculation before documents are signed.
A long-term home can create a citizenship route
The ordinary naturalisation route requires five years of qualifying residence; other statutory routes have their own grounds and evidence. The process includes personal attendance, valid residence and identity documents, background records and the relevant examinations. A purchased property is not a direct citizenship-by-investment application.
Mexico is a stronger fit when the intended household and business activities make sense there on their own merits. The initial review should compare the actual tax cost, permission to work, family plans and ongoing administration with the alternatives. Offshore Capitalist can coordinate that cross-border review and its implementation.
