What the tax system covers
Locally derived income and relevant foreign income received in Malaysia enter different parts of the analysis. Corporate foreign-dividend exemptions have conditions that differ from the individual regime. The company's management and control must also be established.
When a company becomes tax resident
Public Ruling 9/2019 explains the management-and-control test for company residence. Identify where the controlling business decisions are taken, not simply where the company secretary or registered office is located. A founder who moves personally while retaining all commercial authority can affect a foreign company’s position. Corporate foreign dividends, foreign capital gains, Malaysian business income and the shareholder’s distributions are separate categories. Do not extrapolate the individual exemption to a company or assume that a foreign incorporation establishes an exemption. Prepare an entity-by-entity computation and evidence file before moving management or disposing of an asset. For a later departure, employment clearance and special timing for certain deferred employment income can affect the final year even when an overseas move is genuine.
Rates and the tax base
24% ordinary corporate income tax. Qualifying smaller resident companies may receive reduced bands, subject to capital, gross-income and ownership conditions. The standard rate is not the shareholder’s final total tax or an automatic rate for a special incentive company.
Outbound dividends, interest and royalties
Dividends: 0% ordinary company dividends. Malaysia does not impose withholding on dividends paid by ordinary companies. REIT distributions and the separate personal dividend-income rules must not be substituted for this nonresident-company payment category.
Interest: 15%. Domestic gross withholding under section 109, before treaty relief and specific statutory exemptions. Verify the loan, payer and nonresident recipient conditions.
Royalties: 10%. Domestic gross withholding under section 109, before treaty relief. The legal rights supplied and where they are used determine whether the payment is a royalty.
Where the company is managed
HASiL Public Ruling 9/2019 explains company residence by reference to management and control exercised in Malaysia during the basis year. A founder making strategic decisions locally should review a foreign company’s position even if it was incorporated abroad. The ruling predates later foreign-income changes, so its residence discussion should not be used as a current comprehensive statement of foreign-income exemption.
Companies are not the same as individuals
A foreign company can introduce Malaysian management, business-source and permanent-establishment questions. Company exemptions must be tested independently of a shareholder’s individual treatment. This draft leaves the detailed CFC and corporate-residence comparison for statutory review. A low foreign nominal rate says little about whether profits have been correctly allocated between the countries involved.
Unwind MM2H commitments and business arrangements separately
A decision to leave does not automatically release the fixed deposit or remove a property holding restriction. Ask the licensed programme company and relevant authority for the current cancellation, withdrawal and evidence requirements. Preserve written release instructions and avoid withdrawing qualifying capital while still relying on the permit. Property disposal has its own commercial, legal and tax consequences.
For a business, decide whether operations remain, functions move or the entity closes. A founder’s new work location can alter management and control without changing the registration. Hand over authority, accounting records and bank access deliberately, and document the effective dates. The next country may tax future foreign income or gains differently, so review the retained Malaysian assets and companies before taking up residence there.
Review the business that moves with you
Company residence can turn on management and control exercised in Malaysia during the relevant basis year. A foreign company may therefore need review when its founder moves to Kuala Lumpur or Penang and continues making strategic decisions. The shareholder’s individual foreign-income exemption does not determine the company’s tax treatment. Map who controls budgets, financing, contracts, intellectual property and staff.
The implementation budget should also include property transaction costs, insurance, education, annual administration and any operating business costs. Confirm the bank’s requirements for opening and maintaining the qualifying deposit before transferring funds. Prepare an exit plan at the same time: leaving Malaysia, cancelling MM2H, releasing the deposit and selling property are distinct steps. Offshore Capitalist can coordinate these cross-border decisions and agreed implementation without assuming that one programme fits every household.
Foreign companies and income attribution
Current CFC scope not verified. Malaysian management and source rules cannot be replaced by a foreign company label.
Departure, migration and continuing obligations
Personal employment CP21/clearance and linked-year residence tests matter. Company residence, closure and retained local operations need separate review.
