The company, its owner and the place of work
A Finnish limited company generally pays 20% income tax on taxable profit in 2026. The company’s liability and the owner’s wage or distribution tax are separate. Neither a foreign shareholder nor sales to overseas customers gives the Finnish company a general exemption.
A foreign incorporation can also have Finnish consequences. Separate full corporate residence, permanent-establishment exposure, employer obligations and VAT registration. Each test uses its own facts.
Where is the business actually managed?
Finland treats a foreign corporate entity as resident if its place of effective management is in Finland. Vero examines where the board or equivalent highest decision-making body makes the principal day-to-day management decisions, alongside the real organisation of the business.
A foreign registered address is weak evidence if the founder in Finland controls decisions in practice. A place of management can also create a permanent establishment even where it does not meet the full residence test. Document who decides, their authority and where they act.
Withholding on outbound payments
Use the recipient’s legal status, beneficial ownership, treaty entitlement and payment classification before paying. A headline domestic rate is the starting point, not the answer for every treaty recipient.
| Payment | General starting point | Before using it |
|---|---|---|
| Dividends to a nonresident company | 20% domestic starting point | Treaty or qualifying statutory/EU exemption may reduce it |
| Dividends to a nonresident individual | 30% domestic starting point | Treaty relief and identification procedures matter |
| Nominee-registered listed dividend with unidentified recipient | 35% special withholding | An unidentified recipient is not an ordinary 20%/30% case |
| Interest | Often exempt from Finnish source tax under domestic conditions | Debt terms and statutory scope must be checked |
| Royalties | 20% corporate / 30% individual starting points | Treaty and qualifying EU relief can change the result |
Controlled foreign companies and retained earnings
Control and low taxation must be tested before relying on foreign retained profits. Qualifying foreign entities can include trusts and foundations; the legal label alone does not settle attribution. Transparent partnerships need their own treatment.
Prepare accounts on the required Finnish basis, trace direct and indirect interests with related-party holdings, then document any genuine-activity exemption. Form 74 is part of the reporting framework. This is separate from the question of where the foreign entity is effectively managed.
VAT rates and registration
The standard rate is 25.5%; the principal reduced category is 13.5% from 1 January 2026, with 10% retained for qualifying newspaper/magazine supplies. Food and restaurant treatment does not extend the food rate to alcoholic drinks.
| Issue | Starting point | Operational consequence |
|---|---|---|
| Domestic turnover | EUR 20,000 ordinary small-business threshold | Foreign businesses and cross-border transactions need separate registration/place-of-supply tests |
| B2B services sold abroad | Determine customer status and place of supply | Reverse charge or reporting can apply; an overseas invoice address alone is insufficient |
| Exempt activity | Assess entitlement to deduct input VAT | Exemption can increase the real cost of purchases |
| Returns | Use the business’s assigned tax period | Returns can still be required for a period with no activity |
Payroll is part of operating cost
Budget employer pension, health and unemployment contributions separately from gross pay. Add applicable accident insurance, occupational requirements, paid leave and collective-agreement benefits. The employer pension figure in the national table is an average, not a binding quote for your company.
Check the actual work location of remote staff. A foreign contract or foreign bank payment does not by itself remove Finnish obligations. For an owner-manager, assess YEL coverage before treating all remuneration as ordinary TyEL payroll.
Moving company assets or residence out of Finland
Corporate exit taxation can arise when Finland loses its right to tax transferred assets or activities. The calculation can bring the difference between exit value and undeducted tax basis into income; assets remaining within a Finnish permanent establishment need separate treatment.
This corporate rule is not a personal departure-tax rule. Before relocating management, prepare an asset register, valuation and analysis of the rights Finland retains under domestic law and the treaty.
The operating file to maintain
A useful compliance file connects tax treatment with how the business actually works. It should allow a new adviser to reconcile profit, transactions and decision-making without rebuilding the structure from scratch.
- Maintain entity and beneficial-owner charts with changes dated.
- Retain management mandates, decision records and intercompany contracts.
- Reconcile accounting profit to taxable profit and revise prepayment estimates when forecasts change.
- Track VAT, payroll and foreign-entity reporting separately; one registration does not complete the others.
- Before a dividend or restructuring, revisit available profits, valuation, withholding and the owner’s tax position.
