A Lithuanian company has worldwide obligations
A Lithuanian-incorporated entity is within the domestic corporate tax framework. Foreign operations can create additional tax and registration obligations abroad, while qualifying foreign permanent-establishment income can receive specific relief. That is a relief within a worldwide system, not a territorial-company product.
For a foreign company, analyse Lithuanian permanent-establishment and source-income exposure separately. This review does not identify a general domestic effective-management incorporation substitute. It does not follow that a foreign owner can run a business from Lithuania without Lithuanian consequences: the people, contracts, premises and functions still matter.
2026 rates and the limits of small-company relief
The standard corporate rate is 17% from 2026. Eligible small entities can use 7%, and a tightly conditioned start-up concession can apply for the first two tax periods. Neither concession should be priced into a structure until the ownership, turnover, related-entity and continuity tests have been checked.
Splitting a business into several small entities can fail the aggregation conditions. A tax period is also not always twelve months, and changing owners or ceasing the qualifying activity can undermine a planned concession.
| Issue | What matters |
|---|---|
| Standard taxable profit | 17% in 2026; the 2025 16% rate is not the current baseline. |
| Qualifying small entity | 7%; EUR 300,000 income limit and related-entity/eligibility conditions. |
| Qualifying new small entity | 0% for the first two tax periods, subject to natural-person ownership and statutory continuity and other conditions. |
Taking profit out: dividends, interest and royalties
The company’s own profit tax and tax on the recipient are separate layers. A foreign corporate shareholder may qualify for a participation exemption, but ownership percentage, holding period, residence, anti-abuse conditions and the payment’s beneficial owner need evidence. A private shareholder does not inherit a corporate participation exemption.
For financing and intellectual property, determine whether the payment is interest, a royalty or a service before using a treaty. Contract labels do not eliminate transfer-pricing or permanent-establishment questions.
| Issue | What matters |
|---|---|
| Corporate dividend recipient | 17% domestic corporate withholding baseline; qualifying 10%/12-month participation and other exemptions can apply. |
| Interest to foreign company | 10% domestic baseline; qualifying EEA/treaty-country and other relief can remove it. |
| Royalties to foreign company | 10% domestic baseline; treaty or qualifying EU-associated-company relief requires its own conditions. |
| Individual shareholder | Personal dividend rules apply; ordinary separate PIT rate 15%. |
Moving assets or an operation out of Lithuania
Article 40(2) addresses specified cross-border transfers that remove assets or activity from Lithuanian taxing rights. The measure is based on market value relative to tax value; it is not limited to an ordinary sale for cash. A move of a permanent establishment can therefore need a valuation and a funding plan.
Qualifying EU/EEA cases may spread payment over five years subject to the statutory assistance and other conditions. Later disposal, onward transfer or other events can accelerate payment. The temporary-transfer exception is narrow, including specified collateral, financing and liquidity situations expected to reverse within twelve months.
Operating calendar and the whole employment budget
Before the first invoice, settle accounting responsibility, VAT treatment, payroll registration and the treatment of shareholder funding. Keep the company’s filings, owner’s reporting and immigration conditions on separate calendars. A residence permit is not evidence that the company qualifies for a tax concession.
When comparing Lithuania with another operating location, model gross salary, employee deductions, employer contributions, employment benefits and VAT cash flow. The modest ordinary employer headline rate should not obscure the substantial employee-side contributions or the uncapped health component.
