Retaining profit is different from exempting it

Latvia generally charges corporate tax when profits are distributed or treated as distributed. Retaining ordinary operating profit can therefore defer the charge, but the company still has accounting, tax-return and reporting obligations. Non-business expenditure and other deemed distributions can create tax without any dividend to the owner.

The resident company’s worldwide activity is in scope. A foreign company can have Latvian permanent-establishment and source-income obligations. Incorporation, actual activity, related-party pricing and the shareholder’s home-country CFC rules must all be reviewed before assuming that retained profit remains untaxed throughout the structure.

Understand the denominator before comparing rates

The standard 20% corporate rate applies to a grossed-up distribution base. A net dividend of EUR 80 corresponds to EUR 20 corporate tax: 20/80 is 25% of the cash dividend, but 20% of the EUR 100 pre-tax amount. These are two descriptions of the same standard charge.

From 2026 a company whose participants are only natural persons can elect the alternative 15% rate for qualifying dividends, using the 0.85 gross-up coefficient. The individual then faces a separate 6% dividend tax. Before any high-income surcharge or other interaction, EUR 100 becomes EUR 85 after company tax and EUR 79.90 after the 6% charge. Compare that with the particular recipient’s ordinary exemption and treaty position.

IssueWhat matters
Standard distribution20% of grossed-up base; divide net distribution by 0.8.
Optional eligible 2026 dividend method15% of grossed-up base; divide net distribution by 0.85, then separate 6% personal dividend taxation.
EligibilityOnly natural-person participants in the relevant period; not a general 15% tax on all company income.

Transactions that can accelerate the company tax

The deemed-distribution framework includes non-business costs and specific treatment of loans, doubtful receivables, excessive interest and related-party adjustments. A shareholder loan is therefore not automatically a tax-free alternative to a dividend. Document its actual purpose, terms and the applicable statutory exception.

Assess a proposed restructuring before moving assets or closing a permanent establishment. The distribution-based system has cross-border and deemed-disposal provisions; the treatment of a particular asset or management transfer requires a dedicated review; no general exemption from corporate exit charges is established here.

CFC and where the people make decisions

Corporate CFC rules address qualifying foreign controlled entities and artificial arrangements linked to significant functions performed in Latvia. More-than-50% control and the statutory exceptions must be tested using the entity and transaction facts. A foreign company’s retained earnings can also be taxed by its owner’s country under that country’s separate CFC system.

The domestic corporate residence framework is based on an entity being established or required to be established under Latvian law; this review does not identify a general stand-alone effective-management residence test. That is not a clearance to operate a foreign company through Latvian people without a PE, payroll or transfer-pricing analysis.

Cross-border payments and withholding

Ordinary payments of dividends, interest and royalties to foreign corporate recipients do not all carry a general Latvian withholding charge, but the low-tax-territory rules can change the result. Payments for management or consultancy and Latvian property transactions have separate domestic provisions. Identify the recipient and source before applying a treaty.

The payment recipient’s own personal or corporate liability remains separate even where Latvia does not withhold. Retain residence certificates, beneficial-ownership information, contracts and the support for any relief. A personal recipient should not be assigned the corporate-recipient baseline.

A business budget beyond the dividend rate

A local operating business needs VAT, payroll and accounting work throughout the year, even if it retains all profit. Ordinary employer social contributions of 23.59% are an additional cost to gross pay, while the employee has separate deductions. Solidarity tax means the ordinary social ceiling is not a simple cap on total charges.

Immigration permission for a founder or employee has its own conditions. The September 2026 immigration reforms changed investment and other routes; a company registration or bank account is not residence permission. Check the intended role, work authorization and family position before funding the operation.
