When an individual becomes Italian tax resident
Since the 2024 reform, the domestic test looks at whether, for most of the tax year, an individual has civil-law residence in Italy, domicile in Italy, or physical presence there. Fractions of days matter. Domicile for this purpose focuses on personal and family relationships; registration in the resident population register creates a rebuttable presumption. These are alternative tests, so spending fewer than 183 days in Italy is not a universal safe harbour.
A family moving its main home to Italy while the business owner travels extensively needs a fact-based review of both the family and the travel pattern. If another country also treats that person as resident, apply the relevant treaty rather than assuming the Italian permit settles the conflict. Preserve the chronology of accommodation, family relocation, travel and work from the beginning.
Ordinary taxation and the new-resident election
Ordinary Italian residents generally enter the worldwide-income system, with income classification, foreign tax relief and foreign-asset reporting requiring separate attention. Employment performed in Italy is not automatically foreign income merely because the employer or customer is overseas. Distinguish dividends, salary, business profits, investment disposals, pensions and trust distributions before calculating the result.
The optional new-resident substitute tax concerns qualifying foreign-source income. For new transfers within the 2026 amendment, the annual principal amount is €300,000 and the qualifying family extension €50,000 each. Earlier entrants can fall under earlier amounts. Applicants generally need nine nonresident years in the preceding ten, and the election lasts no more than fifteen years. The first-five-year exclusion for certain substantial foreign shareholding gains is particularly relevant to founders approaching a sale. Italian-source income remains outside the foreign-income substitute charge.
A foreign company can acquire an Italian tax connection
A company’s legal seat, effective management and principal ordinary management are distinct residence connections under the reformed rules. A foreign certificate of incorporation does not decide where the business is actually directed. Review who approves budgets, signs major contracts, hires senior staff and controls financial risk, and where those people carry out the work.
Corporate residence, a permanent establishment and controlled-foreign-company attribution are different questions. A company might remain foreign resident yet have taxable operations in Italy; alternatively, an Italian owner can face an attribution question without changing the company’s residence. Italy’s CFC legislation can concern resident individuals as well as corporate owners. The 2024 amendments changed the low-tax analysis, so a pre-reform checklist should not be reused mechanically. Control, income composition, effective foreign taxation and the genuine-activity exception need a current Article 167 review.
Tax planning must follow the income and the person
Before arrival, prepare an asset and income register with ownership, acquisition cost, anticipated disposal dates, source country and foreign tax already paid. For a founder, add company accounts, contracts, director responsibilities and planned distributions. Separate personally held assets from company assets and trust property. That distinction affects the taxpayer, filing obligation and applicable treaty article.
The new-resident election should be compared against ordinary taxation using the actual income mix, not wealth alone. A person with substantial Italian work income and modest foreign investment income may receive little value from a large fixed annual charge. Likewise, electing a personal regime does not exempt a foreign company from Italian residence or payroll analysis. Confirm reporting treatment, the scope of any excluded jurisdictions, the exit-year consequences and how family members are added before implementing the arrangement.
