Territorial does not mean automatically tax-free
Hong Kong profits tax focuses on profits arising in or derived from Hong Kong from a trade, profession or business carried on there. Resident and nonresident labels alone do not decide the charge. Determine the operations that produce the profits. A foreign customer, overseas payment or online delivery model is not a complete source analysis.
Foreign passive and disposal income
The FSIE regime covers specified foreign income received in Hong Kong by an MNE entity conducting business there. From 2024 the disposal-gain scope expanded beyond equity interests to other property. Different exceptions involve economic substance, participation, intellectual-property nexus or qualifying intra-group transfers. The facts in the year income accrues can matter even when cash is received later.
Keep individuals and companies separate
Salaries-tax questions concern employment and services; company profits-tax rules are a different framework. A shareholder receiving distributions is not interchangeable with a company receiving foreign dividends. This draft does not turn the FSIE regime into a CFC rule or assert that an absence of one label eliminates exposure. Treaty residence and another country’s management rules also need assessment.
An offshore claim depends on the activity that earned the profit
IRD’s source guidance asks which operations produced the profits and where the taxpayer performed them. A foreign customer, foreign-currency invoice or foreign bank account does not alone establish foreign source. For trading, preserve evidence of negotiation and conclusion of purchase and sale contracts. For services, preserve who performed the services and where. Avoid applying one business’s conclusion to a different activity without reviewing the facts.
The two-tier regime can apply 8.25% to a corporation’s first HK$2 million of assessable profits and 16.5% above it. Connected-entity restrictions matter when there are several companies. Compare the benefit with the actual compliance and operating cost; splitting one business across several related entities does not create unlimited low-rate bands.
Foreign receipts of an MNE entity need a separate FSIE review
The FSIE regime covers specified foreign dividends, interest, intellectual-property income and disposal gains received by an MNE entity within scope. From 2024, the disposal-gain provisions extend beyond equity interests. Receipt can include using income to settle a Hong Kong business debt or acquiring movable property brought into Hong Kong, not just depositing cash into a local account.
The relevant exceptions differ by income. Economic substance is important for non-IP categories; qualifying IP uses a nexus approach. The participation exemption for dividends and equity gains includes a 5% interest held for at least twelve months and further conditions, including subject-to-tax and anti-abuse provisions. A failed subject-to-tax condition can move the result from exemption to a foreign-tax-credit calculation. Check the precise entity, receipt and exception rather than treating the territorial system as a universal exemption.
Keep company profits and the owner’s income separate
Salaries, directors’ remuneration, profits from a sole trade and dividends are different categories. An owner’s employment income should not be assumed to follow the source conclusion reached for the company. A foreign employer may also have Hong Kong reporting obligations for local services. Analyse the relevant contract and work pattern rather than only the payer’s incorporation.
For an overseas owner, the home country may still tax the person, attribute controlled foreign-company income or treat the Hong Kong company as managed there. Hong Kong’s source rules do not answer those questions. Maintain a cross-border income map showing which taxpayer earns each receipt, the legal category, relevant jurisdiction and evidence. Revisit it when staff, management, intellectual property or customer contracting moves.
