A Luxembourg company should have a clear job in your business. We help you assess that role, choose the appropriate structure and coordinate the agreed setup. For an established owner, the valuable outcome is a company that can transact, meet its obligations and work coherently with the rest of the business. That starts by joining up entity choice, permits, management, banking and the owner’s position before documents are signed.
Choose between a SARL and a SARL-S
Ordinary privately owned companies for commercial and service businesses. The comparison connects company law with permits, banking and ongoing obligations. Regulated finance, investment funds, insurance and specialist professional activities require a separate assessment.
Official-source research checked 2026-10-12
- Ordinary SARL
- €12,000 minimum subscribed capital
One to 100 shareholders; individuals or legal entities can participate. A notarial deed is required. This is the starting comparison where a corporate parent, a group structure or future corporate investors matter.[1][4]
- Simplified SARL-S
- €1–€12,000 subscribed capital
Only individuals may be shareholders and managers. An individual may generally own shares in only one SARL-S, with an inheritance exception. Its activities must fall within the business-permit legislation; a private deed is possible.[4]
- Cash payment changed in 2026
- Up to 12 months for eligible subscribed capital
Since 2 June 2026, the ordinary SARL minimum cash capital may be paid within 12 months, unless the articles require sooner. The SARL-S option covers all its subscribed cash capital. Ordinary SARL capital above €12,000, in-kind contributions and issue premiums must be paid at formation; later share issues are fully payable on issue.[3]
- Managers and foreign founders
- Ownership, management and immigration are separate
A SARL manager need not be a shareholder; company-law appointment is not restricted by nationality and may involve a legal entity. A permit-covered operation still needs a qualifying person who actually manages it. A non-EU founder must separately establish any right to live and work in Luxembourg.[5][6][28]
- Business permit
- Activity and establishment determine the requirements
Commercial, craft and relevant liberal-profession activities generally require authorisation. Suitable Luxembourg premises and effective ongoing management are substantive requirements. A registered address alone is insufficient for an operating business.[6]
- Beneficial ownership
- RBE filing, separately from RCS registration
Identify the people who ultimately own or control the company, including indirect control. Request registration and changes within one month of becoming aware, or being expected to be aware, of the triggering event.[13]
- SARL-S profit reserve
- At least 5% of annual net profit
Allocate the reserve until capital plus this reserve reaches €12,000. Reaching that combined reserve target does not itself mean the capital has increased or automatically converted the company into a SARL. Plan any change in legal form explicitly.[4]
What the engagement can cover
- Compare SARL and SARL-S against your owners, intended activity, financing and future investors. Identify when another entity or jurisdiction deserves consideration before you spend on formation.
- Define the sequence for the deed, capital, RCS/RESA registration and RBE declaration, with the notary or filing professional’s role and required evidence clearly allocated.
- Assess the operating prerequisites: business-permit responsibility, suitable premises, real management and any separate sector permissions. Specific applications and local professional work are included only where agreed.
- Coordinate banking preparation around ownership, source of funds, counterparties, currencies and payment needs when banking is in scope. Set expectations for the institution’s independent checks.
- Connect formation with separately scoped tax analysis, VAT, payroll or founder relocation, so the company is not handed over with important dependencies unassigned.
- Provide a clear implementation handover and identify the recurring work, document owners, deadlines and provider relationships required after setup.
We agree the exact deliverables and local provider arrangements in writing. Notarial acts, reserved legal or accounting work and independent management are performed by the appropriate separately identified providers; Offshore Capitalist does not itself supply foreign management.
Tax and management in Luxembourg
An ordinary resident company has a worldwide income-tax starting point, with treaty, participation and other statutory relief examined separately.
Central administration is an express residence connection alongside statutory seat. Examine actual decision-making and treaty dual-residence treatment rather than relying on a foreign incorporation certificate.
Read the corporate tax guideWhat you receive
- An agreed entity and implementation scope, with the commercial purpose, ownership and main dependencies documented.
- A consolidated formation file containing the accepted company records and the registrations or application evidence covered by the engagement.
- A capital-payment and funding schedule that distinguishes subscribed capital, amounts due immediately and any permitted deferred payment.
- A practical handover showing the first accounts and tax deadlines, provider responsibilities and any outstanding bank, permit or operational steps.
Costs to budget for
Government charges
These are authority charges for the specified route. Our service fee and other provider costs are quoted separately.
| Item | Amount | What it covers |
|---|---|---|
| Ordinary SARL: electronic RCS registration | EUR 105.91 excluding VAT | LBR version 14.0 charges €123.91 including 17% VAT. This is the registry filing charge only; notarial work, registration duty, permits, capital and other work are separate.[8] |
| SARL-S: electronic RCS registration | EUR 14.61 excluding VAT | €17.09 including 17% VAT. A cheaper registry tariff does not remove the restricted ownership/activity rules or the ongoing accounts and tax work.[8] |
| Specific fixed registration duty | EUR 75 | The ordinary incorporation act attracts this duty under the applicable company-act rules. The notary or filing provider should identify collection on its disbursement schedule; do not count it twice. Property or other chargeable contributions can add proportional duties.[10] |
| Business permit, where required | EUR 50 | Government stamp duty for issuance. Professional preparation, qualifications recognition, premises, sector permissions and immigration are additional matters.[6] |
| RBE initial declaration or modification | EUR 15 excluding VAT | €17.55 including 17% VAT per declaration. Separate from RCS incorporation. Extra certified extracts, assistance or exceptional requests have their own tariffs.[14] |
| Timely electronic annual-accounts filing | EUR 19 excluding VAT | €22.23 including 17% VAT for the stated filing tariff. This is not the fee to prepare accounts. The separate applicable CNC administrative levy is listed below.[8] |
| CNC administrative levy | EUR 5 | The tariff lists a €5 administrative levy, not subject to VAT, under article 74bis for the relevant accounts-filing obligation. Keep it separate from the taxable registry charge.[8] |
| Late annual-accounts filing supplement | EUR 50 / 200 / 500 excluding VAT | Added to filing charges: €50 in month 8 after year-end; €200 in months 9–11; €500 from month 12. The tariff subjects these supplements to 17% VAT. These charges do not replace the duty to file.[8] |
| Late RBE declaration supplement | EUR 50 / 200 / 500 excluding VAT | Added to the declaration fee: €50 in month 2 after the triggering event; €200 in months 3–4; €500 from month 5, under the consolidated March 2025 schedule. 17% VAT applies.[14] |
Your quote separates Offshore Capitalist’s service fee, local professional charges and government disbursements. It also distinguishes money invested in the company from costs spent forming it. The authority table below is a research reference; it is not our package price. Before proceeding, we identify the initial work, recurring administration and optional tax, banking, payroll or residence work.
Initial setup
Formation, registrations, certification, translation and agreed implementation work.
Recurring costs
Local address or agent, administration, accounts, returns, licences and any genuine management arrangement.
Separate workstreams
Banking, residence, tax analysis, legal opinions and regulated-activity permissions where required.
Setup process & timing
Follow the sequence from preparation to operation. Published government processing targets apply to the stated filing stage; banking, document preparation and additional permissions have their own dependencies.
01Decide whether Luxembourg fits the businessBefore committing to premises or incorporation
Map ownership, client markets, people, assets and decisions. Compare the ordinary SARL with the SARL-S restrictions. Resolve regulated activity, permit responsibility and the tax effect in the owners’ countries before designing the entity. The useful output is a written scope and dependency plan, with local reserved work allocated to the relevant professional.
Documents & evidence
- Business/activity summary
- Ownership and residence chart
- Initial funding and operating budget
- Choosing SARL-S when a corporate shareholder is intended
- Treating a Luxembourg company as an exemption from foreign tax
02Prepare permissions, management and banking feasibilityPreparation period depends on documents and activity
Identify suitable premises and the qualifying business-permit manager. Assemble the permit and integrity evidence. Discuss account suitability and required capital evidence in parallel. Guichet publishes a usual permit-processing period of three months from a complete application; this is not a promise that the company, banking and immigration will all be ready in three months.
Documents & evidence
- Permit application and supporting evidence
- Premises terms
- Bank onboarding file
- Submitting a permit with no credible daily management
- Starting a regulated activity before authorisation
03Finalise the deed and fund the agreed obligationsAfter structure, signatories and funding terms are settled
For an ordinary SARL, the notary establishes the deed and verifies subscribed capital and amounts payable at formation. Eligible cash capital may follow the 2026 deferred-payment rules; the articles can demand earlier payment. For SARL-S, a private deed is possible and the filing process uses the business-permit reference before the final permit is issued. Plan enough cash for launch expenses even when payment of capital is deferred.
Documents & evidence
- Final articles and signing authorities
- Capital subscription/payment schedule
- Cash or in-kind evidence as applicable
- Confusing deferred payment with capital that never has to be paid
- Using an old deed that assumes a different capital procedure
04Register, publish and disclose ownershipFiling deadlines are distinct from processing time
The notary handles the ordinary SARL deed’s formalities. Private deeds must be filed within one month of signature; notarial deeds have a separate AED registration step within 15 days. RCS/RESA publication and the RBE declaration are distinct. Complete beneficial-ownership registration on time and retain accepted filings. SARL-S registration enables the authority to issue the final business permit.
Documents & evidence
- RCS filing and deed
- RBE ownership information
- Permit file reference
- Assuming an RCS filing also files RBE
- Treating the permit reference used for filing as permission to start trading
05Activate operations and relevant registrationsAfter the necessary approvals and provider checks
Complete bank onboarding and any release of funds, obtain applicable VAT registration and set up invoicing and records. If hiring, register the employer and each worker with CCSS within the relevant eight-day deadlines. Review the working owner’s social-security classification rather than automatically putting every manager on an employee payroll.
Documents & evidence
- Final company and permit records
- VAT opening declaration where required
- Employer and employee registrations
- Invoicing with an assumed VAT exemption
- Hiring before payroll and social-security responsibilities are assigned
06Hand over a company that can be maintainedBefore the first reporting cycle
Deliver a consolidated company file, provider contacts, ownership/management records and a deadline calendar. Assign responsibility for outstanding capital payments, bookkeeping, accounts, tax returns, bank reviews and changes in ownership or activity. Ongoing administration and technical structure reviews should have separate, explicit scopes.
Documents & evidence
- Accepted registry and tax records
- Capital-call and statutory calendar
- Accounts and provider handover
- Allowing the first accounts deadline to arrive without records
- Assuming a dormant company has no filing duties

Ongoing obligations & deadlines
Pay any deferred capital
Track the outstanding subscriptions and calls. The 2026 law requires disclosure of shareholders with unpaid shares and sums owed after the balance sheet; called but unpaid amounts can suspend voting rights. This obligation survives a marketing description of low upfront capital.[3]
Approve and file annual accounts
For a 31 December year-end, the outer filing deadline is 31 July. Applicable standardised financial information must first be validated through eCDF, followed by the actual RCS filing. Assign responsibility for both steps and retain the receipt.[15]
Corporate tax return and payment calendar
The return combines corporate income tax, municipal business tax and the corresponding net-wealth-tax assessment. Tax advances have separate quarterly dates and assessments can create other payment deadlines. An annual RCS accounts filing does not submit a corporate tax return.[21]
VAT reporting
Published statutory dates are before 1 March for annual-only filers; periodic returns before the 15th of the following month/quarter and their annual return before 1 May. Check the assigned regime, cross-border recapitulative statements and any separately granted deadline rather than using the RCS year-end timetable.[23]
Payroll and employee reporting
Employer operating declaration and each employee’s entry declaration are distinct. Income-tax withholding is reported and paid on its applicable monthly, quarterly or annual schedule; the fiscal calendar uses the 10th of the following period and requires annual salary-account extracts before 1 March.[25][26][21]
Keep ownership and permit information current
Ownership, signatory, registered-office and authorised-activity changes can involve different filings. A replacement qualifying permit manager or changed activities may require a new permit; specified changes such as the place of business must be notified within one month.[13][6]
Determine the correct audit and reporting tier
Current ordinary small-company criteria use €7.5m balance-sheet total, €15m net turnover and 50 average employees, applying the two-of-three test and relevant two-year/new-company rules. A statutory audit, group reporting, regulated status and a SARL with more than 60 shareholders need specific review. Older €4.4m/€8.8m summaries are not the current thresholds.[16][1]
SARL-S reserve and financing review
At least 5% of annual net profit feeds the special reserve until the statutory combined target is met. A corporate investor, an incompatible activity or capital beyond the SARL-S ceiling calls for a planned legal-form review. The €1 starting point is not an exemption from funding a solvent business.[4][2]
Tax, banking & practical questions
When does Luxembourg make commercial sense?
A Luxembourg setup can be worth evaluating when the business needs a genuine local base, management capacity, staff, counterparties or a coherent role within a wider group. The first question is what Luxembourg will actually do. The next is whether the expected commercial benefit supports the complete annual cost.
For example, a group-owned operating subsidiary and an individual starting a local service business have different requirements. A corporate parent rules out SARL-S ownership. A founder who stays abroad needs a credible operating arrangement and an analysis of the other country’s rules. We use these differences to define the work before incorporation, rather than treating every company as the same purchase.
[1][4][6]Do I need to pay the full €12,000 before forming a SARL?
Not necessarily under the rules effective 2 June 2026. All capital must still be subscribed, but qualifying cash payment up to the ordinary SARL minimum can be deferred for no more than 12 months, subject to the articles. Cash above that minimum, any issue premium and in-kind shares must be paid at formation. For SARL-S, the deferral can cover all subscribed cash capital.
Illustration: for €20,000 ordinary SARL capital subscribed entirely in cash, at least the €8,000 above the statutory minimum is payable at formation; the eligible €12,000 can follow the permitted schedule. An additional issue premium is payable immediately. This is a statutory funding example, not a formation quote. A bank, notary or commercial counterparty may require further evidence or funding.
[3]Can I own and manage it from abroad?
The company-law role of SARL manager has no nationality condition in Guichet’s guidance and can be held by a non-shareholder. That does not settle the business permit, immigration, tax residence or social-security position. Permit-covered activities require real Luxembourg establishment and effective ongoing management by the qualifying person.
Luxembourg’s corporate residence rule connects a company through its statutory seat or central administration. A second country may also consider where decisions and work actually happen. Treaty relief, permanent establishments, owner-country controlled-foreign-company rules and related-party pricing require their own analysis. Read the corporate tax guide and our management and control explanation. Offshore Capitalist does not itself provide foreign management; any independent provider relationship and its responsibilities must be agreed separately.
[5][6][17]Is a Luxembourg company taxed at 16%?
16% is the main corporate income-tax rate for taxable income above €200,000 from 2025. It is not the full ordinary corporate burden. The employment-fund addition is 7% of that tax and municipal business tax is another layer. ACD’s Luxembourg City illustration totals 23.87%; the municipality and tax base matter. A lower corporate band and a transition formula apply below the main-rate threshold.
Corporate net-wealth tax also needs budgeting. The current minimum schedule starts at €535 for balance-sheet totals up to €350,000, rises to €1,605 up to €2m and €4,815 above €2m, subject to statutory adjustments and interaction with ordinary net-wealth tax. Those are not blanket annual company-renewal fees. The tax guide separates profits, wealth and distributions.
[18][19][20]Can it be used as a holding company?
An ordinary SARL may be considered for a holding structure, but the relevant tax treatment depends on the assets, ownership, holding period and other statutory requirements. A participation exemption is conditional; it is not an automatic consequence of calling a company a holding company. A regulated investment vehicle is outside this ordinary formation scope.
SARL-S is a poor assumption for a group parent or investment structure: it has natural-person-only shareholders and its purpose must fall within the business-permit law. The ownership design, financing, distributions and exit should be reviewed together before moving assets. Cross-border contributions or transfers may themselves have tax consequences.
[1][4][17]What will a bank need, and can it refuse?
Prepare a consistent ownership chain, identification, a credible business plan, funding provenance and anticipated transaction flows. The bank assesses the business and its risk appetite separately from the registry. A registration certificate does not oblige a bank to open an account or provide merchant processing.
Where cash is deposited for formation, the traditional procedure uses a blocking certificate and a notarial release certificate. Guichet allows the bank to be in Luxembourg or abroad. Read that guidance with the 2026 deferred-payment law, rather than assuming every new company must now use the same upfront deposit sequence. The banking guide covers the wider operating-account decision.
[12][11][3]Does a small company need VAT registration?
The answer depends on its activity and transactions. A domestic small-business exemption has a €50,000 annual-turnover threshold, but it should not be assumed to cover every cross-border transaction. Acquisitions and reverse-charge services can create registration obligations even where ordinary domestic supplies are exempt.
For a business required to register, Guichet generally specifies filing within 15 days after the activity starts; certain cross-border triggers require action beforehand. Luxembourg’s standard VAT rate is 17%, with reduced rates for qualifying supplies. Establish invoicing, recoverability and place-of-supply treatment before charging customers; the company name or small capital does not determine them.
[22][24]What changes when the founder works in the company or hires staff?
Payroll brings an employer registration, worker declarations, withholding and social-security reporting. A working permit-holder manager with more than 25% of SARL or SARL-S shares can fall into the self-employed affiliation rules. A salary label does not decide the classification.
Employees who work across borders add questions about actual work locations, social-security coordination and payroll obligations. Have the employment terms, start dates and location pattern ready before hiring. Our Luxembourg employment guide and personal tax guide explain the individual side. A company setup quote should state whether any payroll implementation is included.
[27][25][26]Does formation give me residence in Luxembourg?
No. Share ownership, a corporate mandate, a business permit and an individual residence permission are different legal matters. A non-EU founder who plans to work locally needs the appropriate immigration route, and family applications have their own evidence and conditions.
The first-application procedure changed in October 2026, so a move should follow the current self-employed residence guide and relocation guide, rather than an old incorporation checklist. We can assess whether company and relocation coordination should be included in the same agreed project.
[28][6]What should a complete quote distinguish?
Ask for separate amounts for incorporation coordination, the notary or other local professionals, official charges, capital, premises, banking work and any permit or immigration work. Then ask for the recurring budget: bookkeeping volume, accounts, corporate returns, VAT/payroll, address, management and any audit requirement. A tax reserve is different again from an administration fee.
The minimum capital is company funding, not our revenue. Deferred payment affects when it must be paid; it does not eliminate the obligation. The registry figures above are individual authority charges, not an all-inclusive setup price. We confirm local provider availability, the included work and a written quote before accepting an engagement.
[3][8][14][15]Why work with us
- We start with the entire international business. A company can meet local formation rules and still be poorly matched to the owner’s tax position, the team’s locations or the bank’s requirements.
- Our jurisdiction-agnostic approach means Luxembourg must earn its place in the plan. We explain the tradeoffs and the evidence behind the recommendation rather than treating a single country as the answer to every problem.
- We connect analysis with implementation. The scope identifies who is responsible for each dependency, what must happen before trading and what remains to be maintained afterwards.
- You can request a specific formation engagement or a broader structure review. The initial inquiry helps establish which level of work is useful for your situation.
Things to watch out for
A registered address without a real operating setup
The permit authority looks for infrastructure appropriate to the activity and effective management. Address rental, corporate tax residence and permission to operate answer different questions. Resolve the practical arrangement before buying a company.[6][17]
Using an outdated capital checklist
The May 2026 law changed payment timing. Older official overview pages still describe full upfront payment. Confirm the applicable deed, amounts due immediately and outstanding subscription calendar with the notary or filing professional.[3][11]
Choosing the cheapest form before planning ownership
SARL-S cannot have corporate shareholders and limits an individual’s participation in multiple SARL-S companies. A planned parent company or investor can make the ordinary SARL more suitable from the start.[4]
Treating the permit process as one filing
The business permit, RCS registration and RBE disclosure are separate. SARL-S uses a permit reference before its final permit; general guidance that registration can precede a business permit must not be applied without this route-specific qualification.[9][7][13]
A bank account assumed into the delivery date
Bank checks can outlast the registry stage, and the institution can decline a company outside its appetite. Prepare the ownership and transaction story early and distinguish capital handling from an activated operational account.[12][11]
A low-tax headline without the remaining layers
Municipal business tax, the employment-fund addition, net-wealth tax, owner-country taxation and profit extraction can materially change the result. Compare a complete operating structure, including annual costs and the actual owner’s position.[18][19][20][17]

Confirm in your scope
- Local professional and provider availability, reserved work, notarial arrangements, accepted signing method and bank appetite are confirmed for the specific case before engagement.
- No fixed end-to-end completion date is published. Document preparation, permit processing, notarial scheduling, banking and immigration have separate dependencies.
- The figures cover specified official charges for ordinary cases. Notarial fees, certification, translation, premises, professional work, regulated activities and property contributions require separate quotations or calculations.
- The treatment of a foreign owner, existing group, transferred business or regulated investment activity needs a fact-specific cross-border review; an ordinary SARL formation checklist does not decide it.
