Start with the taxpayer

Canadian-resident individuals generally enter the Canadian tax system on worldwide income. Foreign income does not become exempt simply because a foreign company collected it or a foreign bank holds it. Provincial or territorial treatment and the character of each receipt affect the calculation.

A planning model should separate salary, business profit, dividends, capital gains, financing and retained corporate earnings. Applying one headline rate to all of them can produce a misleading comparison.

Foreign companies and FAPI

Section 91 of the Income Tax Act can attribute foreign accrual property income of a controlled foreign affiliate to a Canadian-resident taxpayer. The detailed definitions, ownership relationships, income categories and available deductions determine the outcome. Active foreign operations and a passive investment company are not interchangeable.

Begin with a complete ownership chart and the source of each income stream. Review related-party transactions, actual functions, employees, risks and assets. A foreign incorporation certificate is only one piece of that evidence.

Who really runs the company?

CRA explains that common-law corporate residence follows central management and control; statutory incorporation rules and treaties also matter. Actual decision-making prevails over a paper allocation of duties.

If overseas management is part of the plan, the managers must have the required authority and actually exercise it. Offshore Capitalist can help evaluate the arrangement and connect clients with external management providers; we do not supply that management internally.

Build the documentation alongside operations

  • Map Canadian and foreign customers, employees, contractors, intellectual property and directors.
  • Test corporate residence and permanent-establishment questions separately.
  • Document intercompany agreements and commercially supportable pricing.
  • Identify foreign-affiliate and other information returns, not only the income-tax payment.
  • Revisit the analysis when an owner, director, team or material contract changes.

What a review should resolve

The objective is a defensible account of what the business does, who makes decisions and why the tax treatment follows. An existing-structure review can identify a narrow weakness; a full engagement can redesign and implement the arrangement. Formal local opinions, where required, should be scoped expressly.

Rates: compare the combined result, not one headline

The 2026 federal personal bands are 14%, 20.5%, 26%, 29% and 33%; provincial or territorial tax is additional. The general net federal corporate rate is 15%, while the 9% small-business rate is limited to qualifying Canadian-controlled private corporations and eligible income. Province, income type and the shareholder’s extraction method change the total.

A business-owner model should distinguish profits retained in a company from cash distributed for personal spending. Compare salary, dividends, sale proceeds and reinvestment at the relevant dates. Applying the owner’s highest personal marginal rate to every dollar of company profit can materially overstate the immediate saving.

FAPI is an attribution system, not a remittance tax

Section 91 can include a resident shareholder’s relevant share of a controlled foreign affiliate’s foreign accrual property income in current income. The definition of income, affiliate status, control and available deductions must be examined under the wider foreign-affiliate rules. Reinvesting the money abroad does not by itself defer an inclusion.

The classification of a real active business differs from passive investment activity, but labels do not decide the issue. Related-party services, financing and the way people perform work can affect the statutory classification. A foreign company that merely receives invoices for Canadian work is particularly different from a business with genuine overseas operations.

Management, contracts and evidence

Record who can approve budgets, hire senior staff, enter material contracts, control bank mandates and change strategy. A genuine foreign board should have the information, competence and authority to consider these matters. Minutes prepared after the event cannot repair a mismatch between the stated and actual decision-making.

The implementation file should reconcile intercompany agreements with people, functions, assets and risks. Transfer-pricing support and foreign-affiliate reporting are separate from proof of corporate residence. CRA’s guidance identifies Form T1134 for relevant foreign affiliates; the applicable exclusions, deadlines and supplementary schedules need an annual filing review.
