Germany company formation

Build your German operation around the right company, banking and registrations.

Eibsee and the Bavarian Alps at sunrise, Germany

For entrepreneurs establishing a German business or a subsidiary within an international group. We help choose between GmbH and UG, coordinate the agreed formation work and connect it to the banking, tax and operational steps the business needs.

GmbH or UG (haftungsbeschränkt)

A new, privately held German operating company. We assess the business, owners, banking and management together, then coordinate the formation and supporting work agreed in your proposal. A branch, partnership, regulated business or contribution of an existing business needs a different scope.

Official-source research checked 2026-10-12

GmbH share capital
€25,000 minimum

For a wholly cash-funded GmbH, at least 25% of each cash share and at least €12,500 in total must be paid before the register application. The unpaid balance remains an obligation to the company. Share capital is company funding, not our fee or a government charge.[1][3]

UG share capital
From €1; fully paid

The low-capital variant uses the full UG (haftungsbeschränkt) or Unternehmergesellschaft (haftungsbeschränkt) designation. Capital must be paid completely in cash before registration; contributions in kind are excluded at formation. The chosen amount still needs to support the business’s actual cash requirements.[1][2]

Shareholders
One or more; foreign ownership allowed

An individual or legal entity can be the shareholder. German nationality or residence is not a formation requirement. Foreign corporate owners need acceptable proof of existence and of the authority of the people signing for them.[15]

Managing directors
One or more eligible individuals

Directors must be natural persons with full legal capacity and satisfy statutory eligibility rules. A shareholder can also be the director. Non-residence is not itself a bar, but where management actually takes place remains relevant to tax and operations.[4][15][29]

German seat & address
Required

The articles designate a statutory seat in Germany. The register application includes a domestic business address and representation details. Confirm reliable receipt of official correspondence and any service-of-process arrangement; an address alone does not supply staff or genuine management.[7][8]

Formation method
German notarial deed

The articles require notarisation. The simplified model-protocol route under §2(1a) permits up to three shareholders and one director. It is restrictive: tailored voting, transfer or investor provisions require an appropriate drafting route. Online notarisation has separate identity and technical requirements.[5][16]

Limited liability
Registration is the key milestone

The GmbH as such comes into existence on registration. Before entry, people acting in its name can be personally and jointly liable. After entry the company answers with its assets; capital duties and a director’s own responsibilities do not disappear.[9][10]

2026 profit taxation
Corporate tax + solidarity surcharge + trade tax

The 2026 corporate-tax rate is 15%, with a solidarity surcharge of 5.5% of that tax. Municipal trade tax is separate and location-dependent. The published 15% headline is therefore not the company’s complete tax burden.[30][31][32][33]

What the engagement can cover

  • Assess GmbH versus UG against the activity, owners, funding and wider international structure.
  • Coordinate the agreed document preparation, notarial formation and commercial-register process.
  • Identify and coordinate the address, trade, tax and beneficial-owner work expressly included in the proposal.
  • Coordinate a banking application and required operating functions where accepted and included.
  • Arrange the handover to agreed accounting, payroll or other local providers; their work and costs are separately specified.

Your proposal defines the tasks, relevant external professionals, provider availability and charges before engagement. German notarial and other reserved professional work is performed by the appropriate professional; approval decisions remain with the authorities and institutions.

Tax and management in Germany

Resident companies are generally taxed on worldwide income; participation, foreign-establishment and treaty relief are separate analyses.

Corporate management is an independent residence connection; the Fiscal Code examines the centre of executive business management.

What you receive

  • A written setup scope identifying the entity, owners, capital, signing route and dependencies.
  • The notarial and issued company-registration records covered by the engagement.
  • Confirmation of completed supporting registrations and banking work within scope, with outstanding items clearly identified.
  • A provider and responsibility handover covering correspondence, records, recurring costs and first-year deadlines.

Costs to budget for

Government charges

These are authority charges for the specified route. Our service fee and other provider costs are quoted separately.

ItemAmountWhat it covers
Cash GmbH or UG: ordinary first register entryEUR 300€225 under tariff item 2100 plus €75 under item 6000, the mandatory one-third data-availability charge. This covers those register charges only, not the notary, translations or our work.[18]
GmbH with at least one contribution in kind: ordinary first entryEUR 480Alternative to the cash-entry row: €360 under item 2101 plus €120 under item 6000. Other registrable matters may attract separate charges. A UG cannot use in-kind contributions at formation.[18][2]
Trade registration: Berlin electronic exampleEUR 15A municipal example, not a nationwide tariff. Berlin publishes this alternative for its electronic process; confirm the eligible local route for the company’s establishment.[20]
Trade registration: Berlin non-electronic exampleEUR 31 + 13 per additional representativeBerlin’s published legal-entity charge is €31 with one legal representative, plus €13 for each additional representative. This is an alternative to its electronic fee, not an amount to add to it.[20]
Transparency register: ongoing annual chargeEUR 19.80 per yearThe current annual tariff applies from fee year 2024. This recurring authority charge does not include a provider’s beneficial-owner review or filing service.[24]

We separate our professional fee from notary fees, court and municipal charges, authentication or translation, address and other provider costs. Paid-in capital remains the company’s funding and is shown separately. Banking, tax analysis, accounting and residence work are included only where stated; ongoing costs are identified before you proceed.

Initial setup

Formation, registrations, certification, translation and agreed implementation work.

Recurring costs

Local address or agent, administration, accounts, returns, licences and any genuine management arrangement.

Separate workstreams

Banking, residence, tax analysis, legal opinions and regulated-activity permissions where required.

Setup process & timing

Follow the sequence from preparation to operation. Published government processing targets apply to the stated filing stage; banking, document preparation and additional permissions have their own dependencies.

01Confirm the commercial purpose and entityBefore formation is instructed+

We establish what the German company needs to do: employ people, contract with customers, hold stock, operate premises or form part of a wider group. We compare GmbH and UG funding with the planned cash outflows and identify owner-country, management, banking or licensing questions needing separate analysis. The proposal then names the tasks, external professional work and recurring responsibilities included.

Documents & evidence

  • Activity, transaction and staffing outline
  • Owner, residence and group-structure information
Common complications
  • Choosing Germany only because an incorporation advertisement looks inexpensive.
  • Treating a subsidiary as a substitute for analysing the existing business.
References [29][1][2]
02Prepare the corporate documents and signing routeBefore the notary appointment+

Agree the articles, share allocation, director powers and German address. Resolve foreign-company evidence, translations and any power of attorney early. For remote signing, the notary must confirm the accepted eID and video route; possession of a scanned passport alone does not establish online eligibility. A multi-owner business should decide governance and exit rights before adopting restrictive model documents.

Documents & evidence

  • Approved formation details and articles
  • Identity, authority and ownership evidence
Common complications
  • A foreign parent’s representative cannot establish authority to sign.
  • Assuming all founders can use the same remote-identification route.
References [6][5][15][16]
03Execute the deed and complete the capital paymentNotarisation precedes the ordinary cash-capital completion and filing+

The founders sign through the agreed notarial route and the directors are appointed. Coordinate a suitable account for the company in formation, complete institution checks and pay the required capital. The director must be able to give the statutory declaration about payment and free availability. The payment amount depends on GmbH versus UG and cash versus in-kind funding; the notary controls the filing sequence for the case.

Documents & evidence

  • Notarial deed and appointment documents
  • Capital-payment evidence or approved in-kind file
Common complications
  • Confusing the promised capital with cash already paid.
  • Committing to a customer launch while the account application is still unresolved.

04Obtain commercial-register entryComplete, uncontested filings: Bremen guidance says a few working days+

The notary submits the application and supporting records to the competent register court. Respond to any document or name questions and settle the genuine court invoice. Registration is the legal incorporation milestone. Bremen publishes a few working days for complete filings without court objections; this is local filing guidance, not a nationwide or end-to-end promise: foreign evidence, bank onboarding, court questions and founder availability can affect different parts of the schedule. Confirm entry before representing the business as a fully registered GmbH or UG.

Documents & evidence

  • Accepted register application
  • Register extract and incorporation file on completion
Common complications
  • Treating the notarial signing date as the company’s registration date.
  • Signing in the company’s name before entry without understanding the personal-liability position.
References [8][9][18][42]
05Complete trade, tax and beneficial-owner registrationsTrade: at commencement; tax: one month; beneficial owners: without undue delay+

Notify the relevant trade authority when the commercial business commences. Meet the corporate tax notification and electronic-questionnaire requirements within one month of the reportable event. Identify and report beneficial owners to the Transparency Register without undue delay. These obligations can arise while other steps are still pending. A commercial-register extract is not evidence that every filing is complete, and the trade notification does not replace a required operating licence.

Documents & evidence

  • Trade notification and any permission
  • Tax questionnaire and access arrangements
  • Beneficial-owner information and filing confirmation
Common complications
  • Waiting for a bank or first invoice before addressing every filing deadline.
  • Assuming data forwarding between agencies completes the company’s own duties.
06Make the company ready to trade and employBefore the relevant transaction or employment begins+

Complete the account functions, VAT setup, invoice handling and any other work expressly included. For a first employee, the employer establishment number and social-insurance reporting need attention; the accident-insurance company number is a prerequisite to the ordinary establishment-number application. Check who signs customer and group contracts and whether staff in other countries create additional obligations. Residence permissions for founders are a separate workstream.

Documents & evidence

  • Bank and payment operating instructions
  • Invoice, bookkeeping and payroll arrangements
  • Relevant licences and signed operating contracts
Common complications
  • Assuming a payment account includes credit, card acquiring or every required currency.
  • Treating an incorporated company as permission to live or work in Germany.

07Handover the records and first-year calendarAt completion of the agreed work, with remaining items identified+

You receive the issued formation and registration records within the agreed scope, a list of provider relationships and a clear schedule of remaining and recurring tasks. Agree who maintains the accounts, approves filings, handles official correspondence and reports changes. A company that has not started generating revenue still needs its actual corporate and filing obligations assessed. Ongoing administration is separately defined rather than assumed to be included indefinitely.

Documents & evidence

  • Company records and provider responsibility list
  • Accounts, tax and disclosure calendar
  • Recurring-cost schedule and outstanding-items list
Common complications
  • Confusing financial-statement preparation, shareholder approval and public disclosure deadlines.
  • Assuming the formation price covers the following year’s accounting and filings.

Ongoing obligations & deadlines

Bookkeeping and financial-statement preparation

Normally first three months; qualifying small companies up to six

The six-month allowance applies where consistent with an orderly course of business. Size-based exemptions can affect the notes or management report; they do not justify assuming there are no accounts. Give the accountant usable records throughout the year.[36]

Shareholder approval and profit appropriation

Within eight months; small companies within eleven months

These periods run in the financial year following the year being approved. The articles cannot extend the statutory deadline. Keep the approval and profit-allocation decisions separate from preparation and public filing.[14]

Public accounts filing

Generally no later than one year after the balance-sheet date

Submit the applicable documents electronically to the Unternehmensregister. Small and micro entities can qualify for reduced disclosure or deposit options. The ordinary one-year deadline is not a blanket rule for capital-market or other special cases.[37][38]

Annual tax returns

Ordinarily seven months; eligible adviser-prepared returns normally end of February in the second following year

Apply the rules for the particular tax, period and representation. Earlier demands, extensions and special cases can change the date. Corporate-tax, trade-tax and VAT returns and payments need a calendar distinct from the public-accounts deadline.[28]

Corporate-tax and trade-tax prepayments

Ordinary statutory dates differ between the taxes

Corporate-tax prepayments ordinarily follow 10 March, 10 June, 10 September and 10 December. Trade-tax prepayments ordinarily fall on 15 February, 15 May, 15 August and 15 November. Follow the actual assessment and applicable deadline adjustments; these payments are separate from filing the annual returns.[43][44][45]

Periodic VAT and payroll-tax filings

Normally by the tenth day after the applicable reporting period

VAT advance returns and payments have their own reporting frequency and extension rules. Wage-tax filing is normally monthly, with smaller-liability rules allowing quarterly or annual periods. Confirm the applicable frequency and payment dates with the accountant; social-insurance reporting and payments are separate.[46][47][39]

Beneficial-owner records and annual register fee

Keep current; changes reported without undue delay

Review actual ownership and control when shares, voting agreements or group structures change. Preserve supporting information and arrange payment of the annual authority charge. A shareholder-list filing and a Transparency Register update address different records.[23][24]

Director and shareholder changes

When the relevant change occurs

Director changes require commercial-register filing. Shareholder-list updates are required without undue delay after the relevant changes become effective, with the filing role depending on whether a notary was involved. Changes can require new provider due diligence as well.[12][13]

UG statutory reserve

At each annual profit determination while the special rules apply

Allocate one quarter of the annual surplus after deducting the prior-year loss carryforward. This is not one quarter of turnover. The special reserve regime does not simply disappear when cash or accumulated profits reach €25,000; a qualifying formal capital increase is needed.[2]

Electronic invoice capability

Receiving capability already required for domestic businesses from 2025

BMF distinguishes a structured e-invoice from an ordinary PDF. Issuance has transition provisions, including the general option to use other invoices through 31 December 2026. Check the transaction and later eligibility rules instead of treating that transition as permission to ignore receipt and storage arrangements.[35][48][49]

Tax, banking & practical questions

When is a German company a good fit?

A German company may be useful when the business has a concrete German operating need: local staff, premises, customers, distribution or a subsidiary within an international group. We begin with those requirements and the owner’s wider position, then decide whether the company and its recurring obligations are proportionate.

If the objective is only a low headline tax rate or a place to route invoices while everything happens elsewhere, the analysis needs to go further. German seat or management can establish unlimited corporate tax liability. The corporate tax guide explains the wider framework.

[29]
Should I choose GmbH or UG?

A GmbH has at least €25,000 of subscribed capital; the ordinary all-cash formation can proceed once the statutory minimum payment is met. A UG permits less capital but requires full cash payment and has a mandatory profit-reserve mechanism. Both require a formal setup and continuing administration.

The useful comparison is the funding available for the first operating period, ownership arrangements and future capital needs. A nominally inexpensive UG can be a poor practical choice if rent, deposits, staff or suppliers immediately exceed its funding. We separate this commercial judgment from the legal minimum.

[1][3][2]
Is the share capital a cost that I lose?

Capital belongs to the company; it is not a fee paid to Offshore Capitalist or the government. It finances the business and is subject to rules protecting capital and creditors. Company spending and payments back to shareholders are different questions. You cannot assume the funds may simply be returned personally after registration.

For example, two equal €12,500 cash shares in a €25,000 GmbH require at least €3,125 paid on each share and at least €12,500 paid in total before filing. Paying €6,250 on each meets both minimum tests; it leaves €6,250 still owed on each share. This is an illustration of the contribution rules, not a recommended operating budget.

[3][11]
What will the notary and the whole setup cost?

Notary fees are governed by the statutory fee system and depend on the transaction. The Federal Chamber of Notaries publishes illustrative charges of €105 for a one-person model-protocol UG and €630 for a multi-person €25,000 GmbH with director appointment. Both examples exclude disbursements, document and postal charges and VAT; neither is a complete formation package price.

Our proposal separates our professional fee, the applicable notary work, court and municipal charges, translations or authentication, address arrangements and any additional banking, accounting or tax work. It also identifies recurring costs. Capital is shown separately, so a payment into the company cannot be mistaken for a service charge.

[17]
Can I complete the formation from abroad?

Foreign shareholders and directors are permitted. Whether a particular founder can complete the notarial step online depends on the official video procedure, accepted electronic identification and the transaction. A general video call or email scan is not an alternative notarisation method.

Where representation is appropriate, the power of attorney must satisfy the legal form and foreign-document requirements. The notary confirms this before execution. Immigration permission is separate from ownership: review the relocation guide if you plan to work from Germany.

[15][5][16][41]
Does a foreign owner need a German resident director?

Non-residence is not itself a formation disqualification for a managing director. The company nevertheless needs its German statutory seat and domestic business address, and reliable representation and receipt of documents. The notary should confirm the arrangements for the actual case.

Appointing someone locally does not by itself establish where decisions are really made. If independent management is appropriate for a wider structure, we can assess the need and connect you with external providers. Offshore Capitalist does not internally provide foreign management and control.

[15][4][7][8]
Will the company pay only 15% tax?

For 2026, ordinary corporate tax is 15%, plus a 5.5% solidarity surcharge on that tax: 15.825% before trade tax. Trade tax starts with a 3.5% measurement rate applied to its own adjusted base and then the local municipality’s multiplier. A 400% multiplier produces a 14% trade-tax rate.

A simplified illustration with €100,000 taxable for both taxes gives €15,000 corporate tax, €825 solidarity surcharge and €14,000 trade tax: €29,825 before any shareholder-level taxes. Actual bases, relief and location can differ. Future corporate-rate reductions are already scheduled in §23, beginning in 2028; they do not reduce the 2026 rate.

[30][31][32][33]
Does incorporation include a bank account?

The company and the bank account are separate approvals. A suitable account for the formation stage must be coordinated with the capital and notarial filing sequence. Each institution conducts its own due diligence and decides whether it can accept the ownership, activity and transaction profile.

Where banking assistance is included, we help prepare and coordinate that application. We first establish which functions matter: capital receipt, SEPA payments, international transfers, currencies, merchant acquiring or payroll. Confirm the required functions rather than assuming that any account supplies them all.

[8][25]
What should be ready before the first invoice or employee?

Confirm the tax registrations, correct invoice details, transaction-specific VAT treatment and bookkeeping process. Germany’s standard VAT rate is 19%, with reduced and other treatments for qualifying supplies. Selling overseas does not justify adding or omitting VAT without analysing the actual transaction.

For employees, the establishment number used in social-insurance reporting and the accident-insurance company number are distinct. Agree employment, payroll and reporting responsibilities before hiring; directors who are also owners can need a separate status assessment. A full payroll or employment opinion is not silently included in a formation quote.

[34][39][40]
How long does a complete setup take?

The notarial deed, capital payment, register entry, tax processing and banking decision are different milestones. We confirm a working sequence after checking the founders’ documents, signing method, ownership and institution requirements. An uncomplicated cash formation and a foreign corporate-parent or in-kind formation should not be sold on the same blanket promise.

The clearest progress measure is which dependency has been cleared and what remains outstanding. We provide the agreed handover when its components are complete, with separately scoped or authority-pending items identified rather than hidden behind a registration certificate.

[5][8]
Why coordinate this through Offshore Capitalist?

Our role is to connect the legal entity with how the business will actually operate. We consider the owners, other countries, tax position, banking, payment needs and implementation together. That can reveal a costly mismatch before you spend money registering an unsuitable company.

The German notary, relevant authorities and institutions retain their own functions. Your proposal states which tasks our team coordinates and which German professional or provider work is required. The intended outcome is an agreed setup, usable records and clear ongoing responsibilities, with additional analysis or implementation priced explicitly.

What should I send in the first inquiry?

Describe the business, where its owners and team are based, why Germany is being considered and when the entity is needed. Mention any essential bank, payment platform, licence or immigration requirement and whether the shareholder will be an individual or an existing company.

We can then identify whether a straightforward formation scope or wider structuring review is appropriate. The detailed identity and legal-document collection comes through the agreed onboarding process. Use the inquiry form to discuss your German setup.

Why work with us

  • We assess the German entity alongside the owners and other countries, so formation supports the actual structure.
  • Banking, payments, management, tax and operations are considered together before an essential dependency is overlooked.
  • Our team coordinates the agreed implementation and provides a handover showing who does what next.

Things to watch out for

A cheap UG is not a funded business

Full payment of a small nominal capital satisfies a formation condition; it does not finance operating expenses. Decide the initial funding and ongoing cash plan before choosing the capital figure. The reserve rule concerns annual surplus after relevant carried losses, not sales.[2]

Foreign ownership does not remove German taxation

The residence test includes a German seat or management. Corporate, municipal trade and owner-level taxes need to be considered together with the rest of the structure. A director outside Germany is not a tax exemption.[29]

Registration charges are only one cost category

Use the current court tariff including its one-third surcharge. Keep notary charges, translations, address arrangements, banking assistance and ongoing accounting separate from both the authority charges and the company’s own capital.[18][17]

The register entry does not finish every registration

Trade commencement, the tax questionnaire and beneficial-owner reporting each have their own trigger. Appoint someone to confirm each filing rather than assuming one agency or provider has handled everything.[19][26][27][23]

Model documents can be too restrictive

The simplified model is designed for a narrow formation arrangement. Multiple owners with different decision rights, investment terms or exit plans should resolve those matters before signature, through the appropriate drafting route.[5][6]

A company does not confer residence rights

Owning shares, signing formation papers and working in Germany are different activities. Confirm the founder’s immigration position independently if a move or local work is planned.[41]

The first annual deadline is not the public filing date

Preparation, shareholder approval, tax returns and public disclosure follow separate timetables. Agree the accountant and information flow at formation so the company is ready before its first year-end.[36][14][28][37]

Confirm in your scope

  • The local municipality, bank or payment institution and notary must accept the actual activity, documents and ownership. No bank approval or remote-signing eligibility is assumed.
  • Commercial-register timing, bank onboarding and tax-number issuance have no universal end-to-end service guarantee in this guide. The proposal records case-specific dependencies.
  • Regulated activities, branch registration, professional companies, in-kind business transfers, complex group tax, beneficial-ownership edge cases and shareholder agreements can require a separate German professional scope.
  • Our professional fees and the availability of individual external providers remain quote-based. No particular German partner, bundled resident director or immigration result is promised.
  • Fees and legal rules were checked on 12 October 2026. Municipal charges shown are Berlin examples; court, notary and other work must be reconfirmed for the instructed case.

The German formation route, local professional involvement and provider scope are confirmed before engagement. This is a scoped implementation service, not an instant incorporation or guaranteed-account offer.
