What the tax system covers
IRAE principally concerns Uruguayan-source business income. Certain foreign passive income of multinational-group entities requires a separate source-extension and substance review. The owner's IRPF rules and new-resident election do not determine the company's tax base.
When a company becomes tax resident
Article 3 describes residence of entities constituted under domestic law and foreign entities completing the formal process to establish domicile in Uruguay. That rule should not be replaced with a generic central-management-and-control label borrowed from another country. Local activities, permanent establishments and the owner’s remuneration still need separate review. A complete owner-level analysis combines residence, income classification, article 21 attribution, the available article 24-bis election and foreign credits. The outcome can change when an ownership percentage, fund, property investment or annual presence changes; continuing evidence is part of the structure, not an optional later service.
Rates and the tax base
25% ordinary IRAE. The standard rate applies to net taxable business income. The tax base, foreign-source exceptions for covered multinational entities, investment incentives and net-wealth tax are separate from the headline rate.
Outbound dividends, interest and royalties
Dividends: 7% covered IRAE distributions. The 7% category applies to covered distributions and deemed dividends by IRAE taxpayers. The origin of profits, exemptions and distribution history affect the result.
Interest: 12% ordinary; instrument-specific rates. Ordinary residual IRNR income is taxed at 12%, while qualifying deposits and listed debt have currency and maturity schedules. Specified low-tax recipients can attract 25%; public-debt and other statutory exemptions require separate review.
Royalties: 12%; 25% specified low-tax recipients. The residual nonresident income rate is 12%; specified low- or no-tax jurisdiction recipients are generally subject to 25%. Source rules, a local permanent establishment and treaty treatment must also be checked.
The current attribution rule reaches ultimate beneficial owners
Article 21 of Title 7, as replaced by the 2025 law for the current framework, attributes the covered article 6 foreign-capital income obtained by nonresident entities and specified domestic entities directly to resident individual ultimate beneficial owners. The referenced beneficial-owner definition uses a five-percent minimum participation for this purpose.
Income is treated as accrued when received by the first entity for which attribution is required. Retaining it in an entity is therefore not necessarily a personal-tax deferral. Article 22’s former successive low-tax-entity regime is expressly marked repealed; a pre-2026 summary of that section is not the current test.
Foreign tax credits and local work require separate calculations
Article 25 provides a foreign-tax credit for the covered income, subject to the implementing conditions and capped at the corresponding Uruguayan personal tax before the credit. Maintain the foreign assessment and payment evidence, and identify the person or entity to whom the income and foreign tax belong.
Services physically performed in Uruguay can be Uruguayan-source. Article 6 also contains source extensions for certain work outside Uruguay, including specified employment and technical or advertising services paid by relevant local taxpayers. Do not assume that an overseas customer or payment account makes every service foreign-source.
Foreign companies and income attribution
The individual ultimate-beneficial-owner attribution rule in Title 7 must not be treated as a complete corporate CFC regime. Corporate IRAE source extensions for foreign passive income of multinational-group entities require a separate analysis of qualified status and substance.
Departure, migration and continuing obligations
No comprehensive personal/corporate departure conclusion is made; investment elections, asset disposals and continued local income must be reviewed.
