Find where the income-producing work happens

The corporate starting point is income accruing in or derived from Gibraltar. A foreign customer, overseas bank account or invoice issued by a foreign entity does not by itself establish an offshore source. Document where contracts are negotiated and performed and where the people producing the income work.

Official accrued-and-derived guidance also illustrates statutory deeming rules for royalties and inter-company interest. Those examples are a reason to review each income category, not a general exemption for intellectual property or lending structures.

Residence and source are different tests

The current corporate-residence summary identifies management and control exercised in Gibraltar, or exercised outside it by ordinarily resident people. Highest-level direction matters; routine administration alone does not answer the question. A company can therefore have a residence issue even when it was incorporated elsewhere.

Source taxation must still be analysed separately. Establish the people making strategic decisions, their physical locations, and the business activity supporting the profits. A registered office and scripted board minutes are not a substitute for understanding how the company actually operates.

The ordinary rate is one part of the calculation

The standard corporate rate has been 15% since 1 July 2024, with 20% applying to specified utility, dominant-position and telecommunications income. Large multinational groups also need separate Global Minimum Tax/Pillar Two analysis; an ordinary-rate calculation does not complete that review.

Indirect taxation changed with the treaty arrangements in July 2026. Retail, wholesale and import businesses should check transaction tax and customs treatment. The September transitional-deduction announcement has a limited period; it should not be treated as a permanent reduction in operating costs.

Plan the compliance work before incorporation

Company registration, tax registration, business licensing, employer registration and residence applications have different purposes. The Tax Office describes corporate returns, supporting accounts and computations, with filing generally due nine months after the end of the month containing the accounting-period end. Confirm the precise filing calendar for the company.

Prepare an operating plan with customers, staff, premises, directors and funding. Then price annual accounts, tax work, payroll, licences and banking alongside formation. Neither incorporation nor paying company tax gives the owner permission to live or work in Gibraltar.

Map the company’s income before applying a rate

Source analysis begins with what generates the receipt. A consultancy staffed and managed in Gibraltar is not equivalent to a passive holding company, a lender or an intellectual-property owner. Separate each revenue stream and the activity, assets and people supporting it. Then consider statutory deeming provisions and exemptions in the current Act.

The March 2026 consolidation is the legal starting point for current income scope. The Tax Office’s older accrued-and-derived paper is useful for explaining the reasoning, but historical examples are not a current-rate certificate. Contracts should describe real responsibilities and commercial arrangements; they cannot relocate income-producing activity that continues somewhere else.

What the 15% headline leaves out

The standard company rate is 15%; specified utility, dominant-position and telecommunications categories can be charged at 20%. A group within Pillar Two must examine the separate minimum-tax framework. These rules cannot be compressed into a promise that a company incorporated in Gibraltar will pay 15% on every receipt.

The shareholder’s tax position remains separate. Salary, dividends, trust benefits and loans are different forms of value extraction. Establish the recipient’s residence, the underlying company profits and the relevant exemptions or credits before proposing distributions. A company’s invoice address is also not a defence against the owner’s home-country CFC, management-and-control or permanent-establishment rules.

Sales, imports and the 2026 transaction-tax change

Gibraltar’s treaty implementation introduced transaction-tax obligations affecting goods. The correct treatment depends on the supply and customs procedure; this guide does not present an unverified universal sales-tax rate. Importers should obtain the applicable commodity, valuation and procedure analysis and reflect those amounts in stock costing and customer pricing.

The September 2026 deduction rules are transitional support for eligible retail and wholesale businesses. They concern the difference between transaction tax and the former import duty during the initial 90 days from 15 July 2026, subject to conditions and a cap linked to prior tax. They are not a permanent reimbursement of all indirect taxes. Preserve proof of tax paid and the required Office of Fair Trading certification.

From structure design to an operating company

The order below is a project sequence, not an authority processing promise. Incorporation can be only one small part of a viable arrangement. Before implementation, confirm which local professional or regulated provider is responsible for every licence, filing or management service. Offshore Capitalist can coordinate an agreed project and connect suitable independent management providers; it does not itself supply foreign management and control.

Banking should be assessed early using the business model, countries served, beneficial owners and expected payment flows. A bank still makes its own onboarding decision. An operation that needs employees, premises or regulated permissions should not budget solely for the certificate of incorporation.

Ongoing payroll and annual review

The ordinary employer social-insurance rate is 18%, with a published annual cap of £2,923.83 under the July 2026 schedule. Apply the correct worker class and pay-period method rather than assuming this is the complete cost of employing someone. PAYE, benefits, leave obligations and any regulated activity require their own controls.

Review the structure when owners or directors move, new countries are served, a senior employee starts working remotely, or the company acquires property or IP. The practical facts supporting the original tax analysis can change before the legal entity itself changes. An annual administration renewal is not necessarily a complete reassessment of those facts.
