Structure for the company you are building

A software business changes quickly: a founder becomes a team, a product gains customers in new markets and investors introduce requirements that were absent at formation. The structure should accommodate that development and a possible future exit.

We connect the founder’s personal position with company ownership, product development, intellectual property, payments and the places where the team works. The objective is a coherent operating setup that can survive due diligence.

IP ownership must connect to the people doing the work

Identify who created the product, which contracts assign rights and which entity funds, directs and bears the relevant business risks. An IP-owning company is not a complete explanation of how value is created or how related entities should be paid.

Moving existing intellectual property raises a different set of questions from developing a new product within an agreed structure. Valuation, contractual rights and the tax consequences of the transition need review before ownership is changed.

The facts that shape the recommendation

Preserve the revenue and ownership history

A restructuring may affect subscriptions, customer agreements, payment credentials and the entity responsible for service delivery. Document which permissions or consents are needed and how existing customers are handled.

At the same time, keep the cap table, IP records and intercompany arrangements consistent. The next investor or buyer will need to understand the ownership and revenue story without relying on the founder’s memory.

Common mistakes to avoid

  • Moving IP on paper before assessing valuation and transition consequences.
  • Selecting a low-tax entity that conflicts with realistic investor requirements.
  • Overlooking the locations of senior developers and decision-makers.
  • Switching the seller while leaving subscriptions and agreements unresolved.

From an initial review to a complete setup

We can assess the current structure, design an international operating model or coordinate selected company, banking and payment work. Independent management can be considered where the business can genuinely delegate the relevant authority.

Tell us the current entities, founder residence, product stage, team countries, profit range and fundraising or exit plans. Existing IP and shareholder documents become part of the scoped information gathering.
